Solvay announces Board of Directors for standalone SYENSQO

Solvay announced the future Board of Directors of SYENSQO, effective upon completion of the planned separation of Solvay into two companies – SOLVAY and SYENSQO – which is on track to be completed in December 2023.

SYENSQO’s Board will be composed of 10 members, including 6 independent members, 3 members representing the reference shareholder, Solvac, and the company CEO. They have deep expertise in specialty industries, international business operations, risk management, corporate governance, finance and clean technology.

SYENSQO’s Board will be composed of 10 members, including 6 independent members, 3 members representing the reference shareholder, Solvac, and the company CEO. They have deep expertise in specialty industries, international business operations, risk management, corporate governance, finance and clean technology.

The following individuals will serve on the SYENSQO Board of Directors:
Rosemary Thorne will serve as independent Director and Chair of the SYENSQO Board, as well as Chair of the Board’s Finance Committee. She is currently an Independent Director on the Solvay Board of Directors, appointed in 2014, and Chair of the Board’s Audit Committee. She is also an Independent Director on the Board of Merrill Lynch International (UK), a wholly-owned subsidiary of Bank of America, serving as Chair of the Audit Committee. Ms. Thorne has decades of financial leadership experience across a wide range of industries. She previously served as Chief Financial Officer at J. Sainsbury, the UK’s largest supermarket chain at the time; Bradford & Bingley; and Ladbrokes. Ms. Thorne previously sat as an Independent Director on the Boards of Royal Mail Group, Cadbury Schweppes, Santander UK, First Global Trust Bank and Smurfit Kappa Group.

Dr. Ilham Kadri will serve as Chief Executive Officer and member of the Board of Directors of SYENSQO. She is currently CEO and President of the Executive Committee at Solvay. Ms. Kadri has successfully led the turnaround of Solvay, delivering double-digit EBITDA growth and 18 consecutive quarters of positive free cash flow, deleveraging the balance sheet and promoting superior people engagement. She is an independent Board member at A.O. Smith and L’Oréal. She is active in non-profit organizations, as Chair of the World Business Council for Sustainable Development (WBCSD), member of the steering committee of the European Round Table of Industrialists (ERT) as well as a permanent member of the World Economic Forum’s International Business Council (WEF). Ms. Kadri has extensive leadership experience across a variety of industries in four continents and with leading industrial multinationals, including Shell, UCB, Huntsman, Dow, Sealed Air. Prior to Solvay, she was CEO and President of Diversey in the USA, led the company’s return to profitability and resulting spin off and divestiture to Bain Capital. She founded two non-Profit foundations: the Solvay Solidarity Fund in Belgium in 2020 which supported more than 7000 families affected by Covid-19 and natural disasters; and founded the ISSA Hygieia Network in 2015 in the USA, to help women in the cleaning industry. She received two Doctor Honoris Clausa from EWHA University in Korea and Université de Namur in Belgium.

Julian Waldron will serve as independent Director and Chair of the Audit Committee. He currently serves as Deputy Executive Chairman of privately-held Albea Group, a global beauty and personal care packaging company which operates 35 facilities in Europe, Asia and the Americas. Mr. Waldron has held senior leadership roles at several leading listed companies in the industrial, technology and services sectors and brings a wealth of expertise in finance and business operations. Prior to joining Albea in 2022, he was Chief Financial Officer of Suez for three years after serving as Chief Financial Officer and subsequently Chief Operating Officer of Technip. He started his career at UBS Warburg where he spent 14 years. Mr. Waldron also served as an independent Board member and Chairman of finance, risk and investments at Carbon Clean, a privately-owned carbon capture company dedicated to achieving net zero.

Heike Van de Kerkhof will serve as independent Director and Chair of the Nomination Committee. She currently sits on the Board of OCI N.V.. Ms. Van de Kerkhof brings more than 30 years of experience in the chemicals, oil & gas and materials industries, having served in numerous leadership roles around the globe. From 2020 to 2023, she was Chief Executive Officer of Archroma Management, a global specialty chemicals company. During her tenure, she successfully completed the transformational acquisition of Huntsman’s Textile Effects business. Prior to her role at Archroma, Ms. Van de Kerkhof served as Vice President of Lubricants, Western Hemisphere at BP, and held positions at Castrol, The Chemours Company, and Neste Corporation. She also held many leading roles within DuPont over 18 years.

Matti Lievonen will serve as independent Director and Chair of the Compensation Committee. He is currently an independent director on the Solvay Board, appointed in 2017. Mr. Lievonen is a proven executive in the energy, forestry, power and automation industries with an extensive track record of leading businesses through climate transition. For over ten years until 2018, he served as Chairman and Chief Executive Officer of Neste Corporation, a global leader in next-generation renewable fuels and chemicals. During his time at Neste, Mr. Lievonen successfully promoted the development of clean fuels as well as Finland’s bioeconomy strategy in advancing renewable transportation fuels. He has also been involved with organizations such as Fortum Board, SSAB, Nynäs AB, Ilmarinen, and the HE Finnish Fair Foundation. Until 2021, Mr. Lievonen was also Chairman of the Board of Directors at Fortum. He has been recognized for his admirable leadership and expertise, and in 2016 was awarded an Honorary Doctorate of Technology by the Aalto University Schools of Technology.

Dr. Françoise de Viron will serve as non-independent Director, Chair of the ESG Committee and Vice-Chair of the Board. She is currently a director of the Solvay Board, appointed in 2013. Ms. de Viron is a regarded academic leader and has extensive experience in innovation, R&D and qualitative research. She is a Professor Emeritus at the Faculty of Psychology and Education Sciences and Louvain School of Management at UCLouvain in Belgium where she has been an Academic Member of various groups at UCLouvain. Ms. de Viron previously served as the president of AISBL EUCEN – the European Universities Continuing Education Network. Prior to her university position, from 1985 to 2000, she was in charge of developing Artificial Intelligence applications at Tractebel S.A. (now Tractebel-Engie).

Roeland Baan will serve as independent Director. He currently serves as President and Chief Executive Officer of Topsoe, a privately-held leading provider of clean energy and petrochemical technologies. He is also Chairman of the Supervisory Board of SBM Offshore NV. Roeland Baan has extensive experience in supply chain management, M&A, business development and operations management. Prior to joining Topsoe in 2020, he was President and CEO of Outokumpu and has held several executive roles at global organizations such as Aleris International, ArcelorMittal and SHV NV. He spent over 16 years in various roles across the globe at Shell, living in South America, in Africa and in the United Kingdom.

Edouard Janssen will serve as non-independent Director. He is currently a Director on the Solvay Board, appointed in 2021. Earlier this year, he was appointed Chief Financial Officer of D’Ieteren Group, a European leader in automotive distribution services. Mr. Janssen is also a Board member of privately-held Financière de Tubize and Union Financière Boël, as well as Co-Founder and Chair of Trusted Family. Mr. Janssen is active in academics, as Vice-Chair of the International Advisory Board of the Solvay Brussels School of Economics and Management and on the advisory board of the INSEAD HGIBS. He brings expertise in finance, strategy, entrepreneurship, business management, planning and marketing. He has served as Solvay’s Vice President in strategy and M&A between 2019 and 2021, and prior to that, he was the US-based General Manager for North- and Latin America at Solvay’s Aroma Performance Global Business Unit.
 
Dr. Mary Meaney will serve as non-independent Director. She is currently a member of the Board of Directors and of the Audit Committee of Groupe Bruxelles Lambert SA. She also sits on the Board of Directors and the Remuneration Committee of Beamery, the privately-held talent management company. She is a member of the Board of Directors and of the Finance Committee of Imperial College, London.Dr. Meaney will bring expertise in Strategy, M&A, and change management, which she acquired over a 24-year career at McKinsey. She was a Senior Partner, served on the McKinsey Shareholders Council and led McKinsey’s global Organization practice.

Nadine Leslie will serve as independent Director and is based in the United States of America. She is currently a member of the Board of Directors of Provident Financial Services , as well as a Non-Executive Director of Seven Seas Water Corporation, a water and wastewater treatment multinational company. She also sits on the Board of Trustees of Hackensack Meridian Health Network and is active as strategic consultant for civil engineering firm T&M Associates. Over a 22-year career at Suez, Ms. Leslie held several leadership positions, the last one being Chief Executive Officer of Suez North America, until 2022. Previously she served as Executive Vice President Health & Safety.

Magnus Håkansson as new CEO of Renewcell

The Board of Renewcell has appointed Magnus Håkansson as the new acting CEO. Magnus has experience from leading roles in the retail and fashion sector and from leadership in a listed environment. On Monday, October 16, he started his position, replacing Patrik Lundström, who has been the company's CEO since 2019.

Magnus Håkansson has a degree in economics from the Stockholm School of Economics and an MBA from MIT Sloan School of Management. He started his career as a management consultant at McKinsey and has since held several leading roles in global growth companies in the retail sector, as well as the pulp industry, including many years with experience from a listed environment. He most recently came from a role as CEO of MediaMarkt Sweden.

In this position he succeeds Klaus Bornack, Managing Director at Bornack GmbH & Co. KG, who successfully headed the advisory board for 12 years. The handover of office will take place during A+A 2023.

ACIMIT: New Managing Director

Giorgio Calculli has been appointed new managing director of ACIMIT, the Association of Italian Textile Machinery Manufacturers. A law graduate with a Master’s degree in training and employment policies, he has been on staff at ACIMIT since 2006 as head of the Association’s training, internal relations and technical department. Calculli takes over as ACIMIT managing director from Federico Pellegata, who after 25 years managing the Association has been appointed CEO of ACIMIT Servizi srl, the company set up by ACIMIT to provide services in support of associated member companies for the promotion of the Italian textile machinery industry in Italy and abroad.

Giorgio Calculli has been appointed new managing director of ACIMIT, the Association of Italian Textile Machinery Manufacturers. Re:NewCell AB’s Chief Executive Officer, Patrik Lundström, has today exercised 6,970 warrants of series 2019/2023 in the Company for subscription of 453,050 new shares in the Company at a subscription price of SEK 48.43 per share. Patrik Lundström has previously exercised 3,494 warrants of series 2019/2023 for the subscription of 227,110 new shares in the Company. All warrants of series 2019/2023 have thus been exercised.

On 27 July 2023, Patrik Lundström sold shares in the Company for the purpose of using the sale proceeds in connection with an exercise of warrants of series 2019/2023 and intends to sell additional existing shares to enable payment of all shares that have been subscribed for today. The Board of Directors of the Company has resolved to extend the period for payment of the new shares up to and including 19 October 2023 to enable an orderly divestment.

Change in leadership team at Renewcell

Toby Lawton, CFO at Renewcell AB (publ), has announced that he will leave his position for a similar position in another company. Toby will continue to work as CFO until a successor has been appointed or at the latest until the end of the year.

"Toby has been an appreciated and valuable member of the management team and I would like to take this opportunity to thank him for the work he has done and the commitment he has shown", says Patrik Lundström, CEO.

At adidas, she devised and implemented a People strategy aimed at efficiently harmonizing and unifying employee experience across the company and establishing adidas as a global values-led organization.

Michelle Robertson, SVP Workplaces & Global Functions at adidas, will assume responsibility for Global Human Resources, People and Culture on an interim basis, reporting to adidas CEO Bjørn Gulden.

“Grow Your Couture” by Piero D'angelo, the winning project of the IMAGINING SUSTAINABLE FASHION (ISFA) competition was announced during a webinar broadcast on 18 May attended by Giusy Bettoni CEO of C.L.A.S.S. Piero D'Angelo, 36, a graduate in Fashion Womenswear from the Royal College of Art in London and in Textile Design from Central Saint Martins, is a Fashion and Textile Designer with a research focus on biotechnology in the fashion industry. In 2022 he founded his Fashion & Textile Design studio experimenting with a multidisciplinary approach on the importance of natural materials and Biodesign. From 2018 to 2022 Piero D'Angelo was a resident and then Product Researcher & Developer at Open Cell (Biotech Research Park), a biotech start-up community in London. He was awarded the Dorothy Waxman Textile Design Prize in 2015 and semi-finalist for the LVMH Prize in 2020.
 
In his communication project, 'Grow Your Own Couture' D'Angelo imagines a future scenario where it will be possible to grow one's own clothes through living organisms such as lichens that are able to absorb pollution. But the project also wants to communicate a return to nature and above all care and protection towards it. In fact, the user is not simply a user of fashion, but through a kit is part of the process of growth, care and creation of the garment, thus abandoning the traditional paradigms of fashion. The project wants to completely re-imagine the way fashion could be designed, produced and used, proposing not only a product, but also a system that wants to collaborate with nature instead of polluting or exploiting it.

Change of management at ERWO Holding AG and Hoftex Group AG

Klaus Steger (64), CEO of ERWO Holding AG (“ERWO Holding”) and Hoftex Group AG (“Hoftex Group”), will step down from the Management Board of both companies at the beginning of 2024 in accordance with internal policies of the family and the company regarding the retirement age. Already on June 30, 2023, ERWO Holding Management Board member Hans-Georg von Schuh will retire as planned. ERWO Holding Management Board member Manfred Heinrich will also leave the Board as planned at this time and will continue to hold his mandate as one of the managing directors in the Südwolle Group together with Stéphane Thouvay and Johannes Rauch.

Spörl has a degree in business administration and has been working for Hoftex Group since 2000. Her professional career began in the Corporate Controlling department, and in 2012 she was appointed as an advisor to the Board of Management. She was granted power of attorney in 2015, followed by appointments as CFO of the Hoftex Group in 2020 and CFO of the ERWO Group in 2022. A search for a successor for Spörl in the position of CFO of the Hoftex Group and, subsequently, of ERWO Holding is currently underway. Until the new CFO takes office, the two members of the Management Board, together with the Supervisory Board, will ensure an orderly transition.

The announced change in the Management Board of ERWO Holding, which acts as the parent company of the Südwolle Group, also ensures continuity at the leading manufacturer of worsted yarns for weaving, circular and flat knitting products in pure wool and wool blends. In the future, the management of Südwolle Group will continue to consist of the longstanding members Manfred Heinrich (Technology, Production & Planning), Johannes Rauch (Finance & Controlling) and Stéphane Thouvay (Sales & Marketing and Product Management & Innovation). Together with the designated board member of the parent company ERWO Holding, they will continue the successful development of the Südwolle Group from a mere supplier to a strategic partner of its customers as well as the growth trend of recent years.

The founding family Steger remains involved in the various supervisory bodies of the group of companies and will continue to work closely with them as the sole shareholder of ERWO Holding.

Lectra’s Annual Shareholders’ Meeting held on April 28 appointed two new Directors, Karine Calvet and Pierre-Yves Roussel for a four-year term. They both will become members of the Strategic Committee, replacing Bernard Jourdan, Lead Director, and Anne Binder. Karine Calvet also becomes a member of the Corporate Social Responsibility (CSR) Committee.

Karine Calvet is Vice-President EMEA responsible for Partners at AVEVA, a subsidiary of Schneider Electric. She began her career at CGI in 1993 and has spent most of it in IT: sixteen years in services companies, seven years in telecommunications, and six years in software. She has had leadership roles in telecommunications environments for leading global companies (CGI, Capgemini, Alcatel-Lucent, Verizon, Microsoft and currently Schneider-Aveva), focusing on digital transformation. Karine Calvet served as Head of Industry at Capgemini, then managed worldwide teams at Alcatel-Lucent as Vice-President, Eastern Europe then at Verizon as Managing Director. Her time at Microsoft strengthened her software expertise, her direct and indirect channels skills, and her experience in IT services. In the last two years, as Vice-President, Southern Europe then Vice-President, Partners and Alliances at Schneider-Aveva, Karine Calvet has worked closely with industrial companies to help them meet the challenges of operational efficiency, safety, cost management, sustainability and decarbonization by taking advantage of digitalization.

Pierre-Yves Roussel has been CEO of leading US fashion label Tory Burch since January 2019. He began his career in investment banking with HSBC in Brussels, then at Morgan Stanley in London. In 1990, he joined management consulting firm McKinsey & Company in France, where he led numerous consultancy assignments in the fashion, luxury, distribution and media sectors in Europe and Asia. In 1998, he was elected Partner then, in 2004, Global Senior Partner (Director). In 2004, he joined the LVMH Group Executive Committee as Executive Vice-President, Strategy and Operations, reporting directly to Bernard Arnault. In 2006, he was appointed Chairman and CEO of LVMH Fashion Group, one of the LVMH Group’s five branches of operational activity. From 2006 to 2018, he was Chairman of the Board of the brands Céline, Givenchy, Loewe, Kenzo, Pucci, Rossimoda, Marc Jacobs, Donna Karan, Berluti, JW Anderson and Nicolas Kirkwood. He has also been a member on several prestigious fashion juries including Andam, CFDA Fashion Incubator, and the LVMH Fashion Prize. He was a member of the management committee of the Chambre Syndicale de la Mode et de la Couture from 2010 to 2018. In 2018, he left the LVMH Group to take up the post of CEO – based in New York – of the company Tory Burch. Founded by his wife in 2004, the private family-run company has more than 350 stores worldwide, 13 retail websites, and nearly 5,000 employees.

Archroma announces CEO Transition

Archroma, a global leader in sustainable specialty chemicals and solutions for the textiles, packaging & paper, paints and coatings industries, announced its transition plan for the role of Chief Executive Officer (CEO). Heike van de Kerkhof, CEO of Archroma since January 2020, will step down effective April 30, 2023, to focus on other career opportunities. Autoneum: All proposals approved at Annual General Meeting 2023

At the Annual General Meeting of Autoneum Holding Ltd on 24th March 2023, a clear majority of the shareholders approved the introduction of a capital band in the amount of approximately CHF 100 million net proceeds to finance the acquisition of Borgers Automotive. The proposal to waive the payment of a dividend for the 2022 financial year in view of the lower net result was also approved. In addition, Board member Rainer Schmückle as well as CEO Matthias Holzammer were given a farewell.

221 shareholders attended today’s Annual General Meeting of Autoneum Holding Ltd in Winterthur. 66.48 percent of the share capital was represented.

The shareholders approved the Annual Report, the Annual Financial Statements and the Consolidated Financial Statements for 2022. The proposal of the Board of Directors to waive the payment of a dividend for the financial year 2022 due to the lower net result was also approved by the Annual General Meeting.

In addition, the shareholders of Autoneum Holding Ltd granted discharge to all members of the Group Executive Board and the Board of Directors by a large majority of votes.

The consultative vote on the 2022 remuneration report was approved by 85.55%. The proposals for the remuneration of the Board of Directors and the Group Executive Board for the 2023 financial year as well as the other proposals were also approved by a large majority.

With 99.03%, a clear majority of the shareholders approved a capital band authorizing a capital increase of approximately CHF 100 million net proceeds. The purpose of the capital increase is to partially finance the acquisition of the automotive business of the Borgers Group announced by Autoneum on January 9, 2023. The Annual General Meeting also approved the other proposals of the Board of Directors for partial amendments to the Articles of Association.

Rainer Schmückle did not stand for re-election. He had been Vice Chairman of the Board of Directors, Chairman of the Audit Committee and member of the Strategy and Sustainability Committee since Autoneum became independent in 2011. CEO Matthias Holzammer, who will leave Autoneum for family reasons, was also bid farewell.

At the same time, Hans-Peter Schwald welcomed the new CEO Eelco Spoelder, who will take over the management of the Group from Matthias Holzammer on March 27, 2023: "With Eelco Spoelder, Autoneum gains an accomplished leader with many years of experience in the automotive supply industry. At Faurecia and previously at Continental, Mr. Spoelder has successfully proven that he can ensure strategic continuity and operational excellence even in a difficult market environment. Michael Dowse joins Hypetex Board

UK advanced materials and technology firm Hypetex, a manufacturer of coloured carbon fibre, has appointed Michael Dowse as a Non-Executive Director and Board Member.

Dowse brings experiences across sport and retail, following leadership roles at some of the biggest sports organisations and companies in the world. He was a Global Director for Nike before becoming President and General Manager Outdoor Americas for Amer Sports, managing brands such as Salomon, Arc’Teryx and Suunto.

As President of Wilson Sporting Goods (2013-2019), Dowse led 1,500+ colleagues in delivering the company’s global strategy, corporate operations, and manufacturing across more than 160 countries. He then took up the position of Chief Executive Officer and Executive Director of the United States Tennis Association (2020-2022).

Dowse will join a group of advisors at Hypetex, which includes Board Chairman Neil MacDougall and former Diageo Chief Financial Officer Nick Rose. They will support CEO Marc Cohen and Chief Technology Officer Nigel Dunlea as they continue to expand the company’s presence in sport and other sectors worldwide.

On 22 February 2023, Renewcell's CEO Patrik Lundström sold 364,705 shares in Renewcell at a price of 85 SEK per share via his wholly owned company PEEL AB. The sale was made to enable PEEL AB to repay loans taken out mainly to purchase shares in Renewcell.

In compliance with applicable rules, the transaction has been reported to the Swedish Financial Supervisory Authority’s PDMR Transactions Register. Following the transaction, Patrik Lundström holds, privately and through a company, 449,504 shares and 730,055 options in Renewcell.

Prof. Karine AUCLAIR is Professor of Chemistry at McGill University and holds the Tier 1 Canada Research Chair in Antimicrobials and Green Enzymes.  She has received numerous awards over the years, including the Clara Benson Award of the Canadian Society of Chemistry, the McGill Tomlinson Professorship, the Leo Yaffe Teaching Award, and the McGill Fessenden Professorship, to name a few. She is an internationally recognized bioorganic chemist with significant scientific contributions to the fields of antimicrobial resistance, biocatalysis and enzymology. Her research led to several patents notably in the clean enzymatic depolymerization of untreated, high crystallinity PET plastics for closed-loop recycling.  Her work has been published in nearly 100 peer-reviewed publications in high-impact journals, and often highlighted by the media.  As a recognized leader in her field, she is often invited to speak at industrial and academic conferences around the world, and to review theses and grant applications for worldwide institutions.
 
Sandrine CONSEILLER is former Chief Executive Officer of Aigle (the emblematic French brand committed to sustainable fashion).  Prior to joining Aigle, Sandrine was Group Marketing & Branding Executive Vice-President at Lacoste (another historic French fashion brand) from 2011 to 2015.  She contributed to the Lacoste maison turnaround with strong growth and numerous professional awards including several Cannes Lions Awards.  She was also Member of the Executive Board.  Sandrine began her career at Unilever and spent 20 years leading global businesses within various divisions, mainly in Personal Care, in Latin America, Europe, and Asia.  Sandrine is also Member of the Board of Phildar (the iconic French knitwear brand), Member of the Board of Raise Sherpa (the first philantropic endowment fund dedicated to start-ups) and is a funding partner of NEO FOUNDERS (a venture fund mentoring impact start-ups).
 
Amandine DE SOUZA is General Manager of LE BHV MARAIS (French retail, decoration and fashion department stores), Eataly (an Italian gastronomy concept franchise) and Home, DIY and Leisure Purchasing at Galeries Lafayette Group since 2018.  She has been a Member of its Executive Committee since 2020.  Amandine has 17 years’ experience in different types of companies of various sizes: from family business, to start-up,  and multinational.  She was General Manager for France at Westwing (an e-commerce start-up) from 2015 to 2018.  From 2009 to 2015, she was International Merchandise Director at Casino Group (food and non-food retail distribution).  Prior to this, she worked as a strategic consultant at Bain & Company within their Distribution and Consumer Goods Division in France and internationally.
 
Mateus SCHREINER GARCEZ LOPES is Global Director for Energy Transition and Investments at Raizen (global leader in bioenergy from Brazil), leading technology, new business development and intellectual property at the company.  He was previously Global Manager for Innovation and Business Development in Renewable Chemicals at Braskem (the largest producer of thermoplastic resins in the Americas and the world’s largest producer of biopolymers).  Before his transition to the corporate world, Mateus held several researcher and lecturer positions on Synthetic Biology and metabolic Engineering at Universities in Mexico, Germany, United States and Brazil.  He is also a Board Member of Iogen Energy Corporation, Vice-Chairman of the Board of the Brazilian Association of Bio Innovation, and Advisory Committee Member from the MIT Energy Initiative.

Rieter: Thomas Oetterli new CEO

Norbert Klapper, who has led Rieter as CEO for nine years, has informed the Board of Directors that he wishes to take on new professional challenges. Thomas Oetterli has been appointed as his successor as CEO of Rieter.

Thomas Oetterli (53) has made a significant contribution to the successful development of the world-leading Schindler Group, starting in 2006 as CEO Switzerland, later as a member of the Group Executive Committee responsible for Europe and China, and from 2016 until 2022 as CEO of the Group. With his comprehensive leadership skills and many years of industrial and international experience, Thomas Oetterli brings ideal prerequisites to lead Rieter as a global market leader through the current challenges and successfully develop it further in the long term. He will take over the function of CEO from Norbert Klapper on March 13, 2023.

Following his departure as CEO, he will be available to the Chairman of the Board of Directors as Senior Advisor until the end of September 2023.

In view of the current challenges Rieter is facing in the current economic and market situation, which require close cooperation between the Board of Directors and the Group Executive Committee, the Board of Directors considers a dual function of Thomas Oetterli as CEO and member of the Board of Directors to be advantageous and in the interest of all stakeholders. It will therefore propose Thomas Oetterli for election as a member of the Board of Directors at the upcoming Annual General Meeting on April 20, 2023.

Ib Jensen takes over from Jan Secher as new CEO of Perstorp Group

Effective March 1st, Ib Jensen takes over from Jan Secher as Chief Executive Officer of Perstorp Group, a specialty chemicals company headquartered in Malmö, Sweden and since 2022 part of PETRONAS Chemicals Group Berhad (PCG).

Ib Jensen is a highly respected senior industry executive with a long career as CFO and extensive experience from M&A and integration of acquired companies, something that will be required in the next phase for Perstorp.

After more than 9 successful years as the CEO of Perstorp Group, Jan Secher has decided to step down. This decision is based on a personal direction set more than a year ago, prior to the acquisition by PCG, allowing for a full search process to be conducted for his replacement. Ib Jensen has been CFO of Perstorp for the past year and was considered the most qualified candidate based on his knowledge of the company, long term experience of the specialty chemicals industry and high level of appreciation in both Perstorp as well as in PCG. Previous experience include CFO and executive roles within Finance and IT at companies such as Arxada, Lonza, Syngenta, Danisco and LEGO.

PCG is fully committed to the Executive Leadership Team of Perstorp and expects the team to continue the successful integration work as well as dealing with the volatile global macro situation.
