Rieter acquires Barmag to become a market leader in natural and manmade fibers

Rieter has signed a definitive agreement to acquire Barmag from OC Oerlikon for an upfront equity purchase price of CHF 713 million. The acquisition will create a globally leading player in natural and manmade fibers, headquartered in Winterthur, Switzerland, and is highly complementary to Rieter’s short-staple fiber business.

Barmag is a provider of filament spinning systems used for manufacturing manmade fibers, texturing machines, BCF1) systems, staple fiber spinning and nonwovens solutions and – as an engineering services provider – offers solutions along the textile value chain. In the financial year 2024, the company generated sales of CHF 734 million with around 2 600 employees.

Barmag comprises the established product brands Oerlikon Barmag, Oerlikon Neumag and Oerlikon Nonwoven. The main markets for the Barmag product portfolio are China, India, Türkiye and the United States of America. The innovative and technologically advanced products are developed in Remscheid and Neumünster (Germany) as well as Suzhou and Wuxi (China).

As fiber consumption is projected to rise, most of the growth is expected to come from manmade fibers. The increase of natural fibers such as cotton and linen is limited due to natural boundaries. Manmade fibers will help to meet expanding demand for clothing, technical and home textiles. The strategic acquisition of Barmag will transform Rieter into a leading supplier for converting natural and manmade fibers into yarn.

The transaction is fully in-line with Rieter’s strategy and follows previous acquisitions, where Rieter complemented its portfolio in short-staple fiber machinery and expanded its footprint in components and machinery for manmade fiber production. The combined platform allows to leverage the recovery of global filament and short staple fiber spinning markets and to reduce cyclicality due to diversification of end-markets. The acquisition will further enhance Rieter’s position in the important Asia-Pacific region and provide access to Barmag’s filament expertise, which will help to further scale Rieter’s own capabilities and improve digitization solutions and product sustainability.

Rieter’s largest shareholder, Peter Spuhler (c. 33% shareholding) is supportive of the transaction and committed to participating in the rights-issue pro-rata by exercising its subscription rights as well as investing additional capital through the non-pre-emptive capital raise. After the capital increase, PCS Holding AG is expected to retain a shareholding of c. 33%.

Additionally, Rieter’s second-largest shareholder, Martin Haefner (c. 10%), also supports the transaction and has committed to participating pro-rata in the rights-issue by exercising its subscription rights and investing additional capital through the non-pre-emptive capital raise.

New strategic partnership between DiloGroup and Kansan

Dilo Systems GmbH, a Germany-based manufacturer specializing in complete nonwoven lines, and Kansan Group, a Turkish manufacturer specializing in nonwoven converting lines, end-of-line solutions, and Wetlaid Nonwoven machinery, have signed a strategic partnership agreement to supply custom nonwoven lines. As part of this partnership, comprehensive solutions will be offered by integrating fiber preparation and carding equipment, wetlaid, hydroentanglement and needling lines, as well as converting and end-of-line equipment. Engineering work will be carried out by Dilo Systems GmbH as the main contractor.

The collaboration primarily focuses on specialized nonwoven markets, particularly for hygiene, medical, and technical applications. The production of specialized nonwovens consisting of short and long staple fiber layers is the goal. These nonwovens are typically made from cellulose pulp and carded materials. In hygiene and medical applications, short-cut cellulose materials play a critical role in absorbing and retaining liquids. When the fiber length drops below 12 mm, the faster flushability of cellulose material offers a significant advantage in terms of waste management.

Wetlaid pulp can be hydrodynamically shaped using headbox technology (flowlip, inclined wire), which can be designed according to demand.

Wetlaid products can be further processed with carded web layers and hydroentanglement, integrating into different production processes.

Kansan Materials has successfully established a production line capable of processing hybrid raw materials developed based on the latest hydrodynamic simulation calculations. This line is equipped with advanced software technologies that assist operators in managing production processes in a fully automated, computer-supported mode.

As the main contractor, Dilo Systems GmbH aims to enhance the efficiency of nonwoven production for the hygiene and medical sectors by integrating Kansan’s wet wipe converting lines and end-of-line equipment. In this scope, the integration of materials produced with Dilo’s “CycloPunch” and “MicroPunch” needling machines into Kansan’s wet wipe converting lines is planned. Kansan is a strong partner in this field, with its expertise and leading position in the industry.

This joint development process and marketing efforts lay an excellent foundation for offering complete lines that can produce carded and needle-punched, carded and hydroentangled, carded and wetlaid nonwovens, as well as combinations of these techniques.

INVISTA will hold downstream nylon fibers business

Nearly one year after announcing its intention to explore strategic alternatives for its nylon fibers business, INVISTA announced it made the decision to hold the business following a thorough marketing process.  

The decision was shared in a message to all employees from INVISTA president and CEO, Brook Vickery, and EVP of Downstream Nylon Fibers, Jeff Kugele, in early April.  

“While there was significant interest in the business, we reached the conclusion that INVISTA can create the most long-term value for the company by retaining ownership, and we are excited about the future potential of the business,” Vickery said.  

The marketing process focused on INVISTA’s nylon fiber portfolio, which includes airbag and industrial fibers, the CORDURA® businesses, and five supporting global manufacturing locations: Seaford, Delaware; Martinsville, Virginia; Kingston, Canada; Gloucester, UK; and Qingpu, China.

INDA and EDANA Recommend New Entity - The Global Nonwovens Alliance

The Board of Directors of INDA and EDANA met this week to continue progress toward a vision of broad collaboration for the benefit of the industry detailed in a Letter of Intent signed by both organizations in September 2024.
 
This work has progressed to include a recommendation to incorporate a separate tax-exempt federation, the Global Nonwoven Alliance (GNA), with INDA and EDANA as the founding members. The purpose of this federation is to provide international leadership for the representation and responsible advancement of the global nonwovens industry (“Industry”) while respecting and benefiting its Members.
 
By aligning resources and expanding collaboration GNA will deliver a more unified and coordinated strategy toward the issues and opportunities faced by the Industry. GNA will enable enhanced programs and service value, reach and efficiency. These benefits will translate into increased local and regional benefits as well as drive innovation, operational efficiencies, and long-term industry growth.
 

The Board of Directors of INDA and EDANA met this week to continue progress toward a vision of broad collaboration for the benefit of the industry detailed in a Letter of Intent signed by both organizations in September 2024.
 
This work has progressed to include a recommendation to incorporate a separate tax-exempt federation, the Global Nonwoven Alliance (GNA), with INDA and EDANA as the founding members. The purpose of this federation is to provide international leadership for the representation and responsible advancement of the global nonwovens industry (“Industry”) while respecting and benefiting its Members.
 
By aligning resources and expanding collaboration GNA will deliver a more unified and coordinated strategy toward the issues and opportunities faced by the Industry. GNA will enable enhanced programs and service value, reach and efficiency. These benefits will translate into increased local and regional benefits as well as drive innovation, operational efficiencies, and long-term industry growth.
 
Under the proposed framework, INDA and EDANA will continue to operate as independent legal entities, maintaining their focus on regional markets and advocacy. They will also serve as founding members of GNA committed to leadership, staff and program coordination designed to enhance collaboration on cross-border industry priorities.
 
While some organizational details, transition provisions and approval timelines are being assessed by the INDA and EDANA Boards, both have expressed their strong support for the vision and purpose of GNA and are committed to responsibly advance this initiative.
 
INDA and EDANA remain committed to a transparent process, both for our members and the industry, and will provide regular updates as this work progresses.

The high flexibility and broad customization options provide benefits in a wide range of markets and applications – from roofing membranes to liquid filtration, as well as specific applications such as dehumidification products and artificial turf.

Freudenberg’s innovative fine denier spunbond materials rely on flexible manufacturing capabilities, which enable a high level of customization. They can be made of PET, PE or PP, not only as 100% composition but also in many different combinations, e.g. PET/PE, PET/coPET or PET/mPP, using mono or bico fibers with titer ranging from 2.5 to 3 dtex. The material weight spans 17 to 140gsm. The nonwovens are strongly bonded thanks to thermal bonding provided either by flat calendering or point sealing. The technology enables lightweight solutions with high tensile and tear strength, as well as a smooth and uniform surface.

Advantages for the construction industry
Suited for construction applications such as roofing & facade membranes, vapor barriers and house wrappings, Freudenberg lightweight fine denier nonwovens complement the well-known Terbond®, Texbond® and Colback® solutions for the construction market. They deliver mechanical strength and, in particular, a high nail tear strength as required by the market. Moreover, they have high UV and temperature resistance and stability thanks to the PET composition.

Filtration applications
The fine denier technology is also marketed under the Filtura® brand, specifically suited for liquid filtration, e.g. coolants & lubricants. The technology provides high efficiency and a regular surface, as well as new capabilities with PET-PA and PET-PE nonwovens. Support media applications for glass fiber, nano and activated carbon also benefit from the lightweight fine denier nonwovens as protective layers.

Packaging and coating: Efficient converting and high durability
The fully synthetic PET/PE fine denier materials are ideal for packaging applications such as desiccant bags and other dehumidifier products. They enable the efficient and fast production of such pouches due to their exceptional hot sealing capabilities, with no need for chemical binders or additional treatments. Freudenberg’s technology provides high strength, high abrasion resistance and high durability, allowing for long-lasting desiccant bags.

In the coating industry, too, Freudenberg’s fine denier spunbonds contribute to enhanced process efficiency. The materials are chemically resistant and have good thermal stability. High-quality coating results can be achieved by using these materials as coating substrates, thanks to their smooth and even surface. The material properties can be customized for coating, laminating and concealing applications thanks to different combinations of polymers, fiber types and bonding technologies. For example, a specific very lightweight flat bonded variant of the material is an ideal coating substrate for cold wax depilatory strips, providing the necessary high mechanical strength and material flexibility.

Other applications for Freudenberg’s fine filament technology are crop covers in agriculture, decoration applications and other industrial or consumer applications.

New members to Lenzing’s supervisory board

On April 17, 2025, the 81st Annual General Meeting of Lenzing AG adopted the resolution to discharge the members of the Managing and Supervisory Boards acting in the 2024 financial year and set the remuneration of the Supervisory Board members for the 2025 financial year.

In addition, a revised remuneration policy was approved. In order to align the remuneration policy for the Managing Board even more closely with the interests of shareholders, the link to share price performance in performance-based remuneration, in particular, was further strengthened. The new remuneration policy of Lenzing AG is also linked to non-financial sustainability criteria (ESG) in addition to financial performance criteria.

KPMG Austria GmbH Wirtschaftsprüfungs- u. Steuerberatungsgesellschaft was appointed as the auditor for both the separate and the consolidated financial statements and also as the auditor of the sustainability reporting for the 2025 financial year.

Elections to the Supervisory Board
The Annual General Meeting also elected Patrick Lackenbucher and Leonardo Grimaldi as new members of the Supervisory Board of Lenzing AG until the end of the Annual General Meeting that adopts the resolution that discharges the Supervisory Board members acting in the 2029 financial year. The mandate of Stefan Fida was also extended until the end of the Annual General Meeting that adopts the resolution that discharges the Supervisory Board members acting in the 2029 financial year.

The elections to the Supervisory Board were due to the expiry of the terms of office of Stefan Fida and of Cord Prinzhorn, who is thereby stepping down from the Supervisory Board in order to concentrate in the future on both existing as well as new tasks within the B&C Group. Marcelo Feriozzi Bacci had already stepped down from the Supervisory Board at his own request on December 6, 2024.

As a consequence, the Supervisory Board of Lenzing AG continues to consist of ten members elected by the Annual General Meeting: Carlos Aníbal de Almeida Junior, Cornelius Baur, Helmut Bernkopf, Stefan Fida, Markus Fürst, Franz Gasselsberger, Leonardo Grimaldi, Patrick Lackenbucher, Gerhard Schwartz and Astrid Skala-Kuhmann. Stefan Ertl, Stephan Gruber, Bonita Haag, Helmut Kirchmair and Johann Schernberger were delegated to the Supervisory Board by the Works Council.

At the constituent meeting of the Supervisory Board following the Annual General Meeting, Patrick Lackenbucher was elected Chairman, Carlos de Almeida was elected First Deputy Chairman and Stefan Fida was elected Second Deputy Chairman of the Supervisory Board.

Carl Cucuzza: INDA Lifetime Service Award
“I am deeply honored and thankful to receive this Lifetime Service Award from INDA. It has been a blessing to collaborate with a close-knit community of dedicated professionals who continually innovate in ways that improve lives while protecting the environment. I’m grateful for the recognition and continue to be excited to see steady growth through the entrepreneurial spirit that is a hallmark of this industry.”

Carl Cucuzza, prior to retirement, was President and Managing Partner of Teknoweb North America, a key supplier of converting equipment for wet and dry wipes, facemasks, and similar disposable products. He also partnered with his son in establishing the Hot Melt Supply Company, which provides service and support for adhesive applications in the disposables, product assembly, and packaging industries.

Prior to that, Carl was General Manager of Newco Enterprises, Inc. and Global Sales and Marketing Manager for the Nonwovens Systems Group of Nordson Corporation. In that role, Carl directly managed the North American and European sales efforts to disposables producers and personally coordinated hot melt systems sales and support activities for a major producer’s global baby diaper production expansion through the 1990s.

Carl is a past board member of INDA, Organizing Committee member, Moderator and Presenter for over 35 years at Vision, WOW, Hygienix, and various other domestic and international conferences. He has been recognized by the state of Georgia with the Award for Product Development and Management Excellence and has received seven patents for machinery and processes for the production of disposable products. He has also published numerous technical papers and articles, consulted on disposables projects, and acted as an expert witness.

Born and raised in Bradford, PA, and living in Monroe, GA, he and his wife Toni have been married for 47 years and have four children and four grandchildren,

Lynda Kelly: INDA Lifetime Service Award
“I am truly humbled and honored to receive the INDA Lifetime Service Award. Growing up in this amazing industry has been a remarkable journey, working alongside so many incredible colleagues across the globe to develop and sell unique nonwoven product solutions and technologies. As an industry, we have achieved so much over the decades, and I am proud to have been part of its evolution. It has truly been an incredible experience!

Lynda Kelly served as Senior Vice President, Americas & Business Development for Suominen Corporation until her retirement in 2023, due to health challenges. She dedicated nearly a decade to Suominen, where she led the Care team then transitioned to lead Americas sales team alongside global product and business development professionals. Under her leadership, the company successfully advanced its sales, market presence, and innovative products to achieve optimal profitability.

Lynda began her career at Kendall, which later merged into International Paper/Veratec and eventually became BBA Nonwovens. Throughout her tenure, she managed sales and marketing across various sectors, advancing into leadership roles. Early in her career, she embraced an expatriate assignment in Toronto, Canada, which provided her with early exposure to the rapidly growing spunmelt market.

In addition to her time at Suominen, Lynda brought deep expertise to the nonwovens industry through 11 years at First Quality Nonwovens, where she helped expand their spunmelt nonwovens offerings in the medical market. She also gained valuable insights into consulting during her two years with John Starr.

A devoted contributor to the nonwovens industry, Lynda remains a long-term supporter of INDA initiatives. She played a significant role as a key member of INDA’s AAMI medical disposable standards committee, helping to shape critical industry-wide guidelines. From 2019 to 2022, she served on the INDA Board of Directors, navigating the challenges and opportunities presented by the pandemic and advocating for collaboration across the sector. While at Suominen, she championed wellness-focused events like the “Run or Walk with Suominen,” blending industry engagement with health, fun, and community.

Lynda’s passion for the nonwovens industry extended beyond her professional contributions. Known for her enthusiasm, she often turned personal encounters into learning opportunities. For example, she would often examine new nonwoven products in a hospital or doctor’s office to spark inspiration. This curiosity drove her to learn more, initiate meaningful conversations, and implement innovative changes within her own teams.

Above all, Lynda cherishes the relationships she developed throughout her career. From colleagues to friends, she believes the most rewarding part of her journey was the people who enriched it. For Lynda, the true heart of the nonwovens industry has always been the connections and partnerships that make it thrive.

Lenzing und Speyer & Grund: New storage tank for Acetic Acid

The Lenzing Group, a leading provider of regenerated cellulose fibers for the textile and nonwoven industries, and Speyer & Grund, specialists in vinegar essences and acidulants as well as long-term partners for LENZING™ Acetic Acid Biobased, announce the completion of a new acetic acid storage tank.

The new storage tank, built at Speyer & Grund’s site in Meerane (Germany), contains a tank for the exclusive filling with LENZING™ Acetic Acid Biobased. This is produced as a by-product in pulp production. The now increased tank capacity also enhances flexibility in the supply chain.

“LENZING™ Acetic Acid Biobased has been an integral part of our Surig vinegar essence since 1983. The new tank solution means growth for us with maximum supply security. The biorefinery process in Lenzing optimally utilizes the renewable raw material wood, the starting material for pulp and fiber production, and converts it into valuable products such as biobased acetic acid. LENZING™Acetic Acid Biobased, which has a carbon footprint over 85 percent lower than fossil-based acetic acid, is used in the food, pharmaceutical, cosmetic, cleaning, chemical, and textile industries and in textile sector processes such as washing, dyeing, and finishing.

It was joined by prototype workshops, a textile laboratory, and a test spinning mill to support further innovation.
