AkzoNobel: Nominations for Supervisory Board

AkzoNobel has announced that Mrs. Jaska de Bakker, Mrs. Ute Wolf and Mr. Wouter Kolk will be nominated for appointment to the company’s Supervisory Board, while Mr. Byron Grote – currently Deputy Chair and Chair of the Audit Committee – will be nominated for a fourth term of one year.

Mrs. De Bakker is a financial leader with experience in strategy, governance and ESG. Currently a board member at various companies, she was previously CFO at Royal FrieslandCampina and at Royal HaskoningDHV.
 
Mrs. Wolf is a seasoned finance professional with more than 25 years of experience in financial management and corporate planning. She served as CFO of Evonik Industries AG for ten years and, prior to that, she held several senior positions within various industries and companies.
 
Mr. Kolk is the current CEO of Ahold Delhaize Europe and Indonesia. With more than 32 years of experience in commercial, operational, supply chain, strategic and general management roles, he brings a wealth of knowledge in different geographies and businesses.

His re-appointment also ensures continuity during the change of the PWC lead partner in charge of the AkzoNobel account, as of the audit of the 2024 financial statements.  

The appointments and re-appointment will be put to shareholders for approval at the Annual General Meeting being held on April 25. Mrs. Pam Kirby, who is completing her second four-year term, will step down as member of the Supervisory Board as per the same date.

AkzoNobel: Jolanda Poots-Bijl steps down

Jolanda Poots-Bijl has announced that she will step down as a member of AkzoNobel's Supervisory Board as of January 31. The decision follows her appointment as CFO of Ahold Delhaize, which limits availability for her current Supervisory Board role.

The Supervisory Board will announce a successor – to be nominated for appointment at the next Annual General Meeting – in due course. Until then, her activities will be covered by the current Supervisory Board members.

Renewcell: Peter Schulz joins as interim CFO

Peter Schulz will join Renewcell in the role of interim Chief Financial Officer (CFO) from 1 January 2024.

He comes from a role as CFO at Pacific Basin Shipping (publ.) in Hong Kong, a position he has held for the past six years. Peter Schulz has extensive experience as CFO from both listed and private companies for the last 10 years. Prior to that Peter Schulz spent more than 15 years, and held senior positions, in investment banking in Stockholm, London and Hong Kong, among others with Royal Bank of Canada and ABN Amro.

Peter Schulz will join Renewcell in the role of interim Chief Financial Officer (CFO) from 1 January 2024.

New appointments to the Management Board of Freudenberg Performance Materials come into effect on January 1, 2024: Dr. Andreas Raps succeeds Dr. Frank Heislitz as Chief Executive Officer (CEO), and Marco Altherr takes over from Thomas Herr as Chief Financial Officer (CFO). From January 1, 2024, the Management Board of Freudenberg Performance Materials will therefore consist of: Dr. Andreas Raps (CEO), Marco Altherr (CFO) and John McNabb (CTO). He previously held several executive management positions at Freudenberg Sealing Technologies from 2004, most recently as CEO of the global Special Sealing Division with 17 manufacturing sites worldwide. Before joining the Freudenberg Group, Raps worked for various management consulting companies in Boston, USA, Munich, Germany, and Zurich, Switzerland. He holds an MBA from the University of Passau. Alongside his job as a consultant, he obtained a PhD with a thesis on strategy implementation in Business Administration. 

Marco Altherr has been CFO of Vibracoustic SE, a Freudenberg Group company, since 2020. He held various senior management positions at Freudenberg & Co. KG, the technology group’s holding company, from 2015 to 2020, most recently as Head of Corporate Controlling and Accounting. Prior to joining Freudenberg, he served in several management roles at Manroland AG, Heidelberger Druckmaschinen, Boehringer Ingelheim and Arthur Andersen. He holds a degree in business administration specializing in controlling and financing from Lahr University.

Change in leadership team at Renewcell

Toby Lawton, CFO at Renewcell AB (publ), has announced that he will leave his position for a similar position in another company. Toby will continue to work as CFO until a successor has been appointed or at the latest until the end of the year.

"Toby has been an appreciated and valuable member of the management team and I would like to take this opportunity to thank him for the work he has done and the commitment he has shown", says Patrik Lundström, CEO.

Toby Lawton, CFO at Renewcell AB (publ), has announced that he will leave his position for a similar position in another company. Toby will continue to work as CFO until a successor has been appointed or at the latest until the end of the year.

Klaus Steger (64), CEO of ERWO Holding AG (“ERWO Holding”) and Hoftex Group AG (“Hoftex Group”), will step down from the Management Board of both companies at the beginning of 2024 in accordance with internal policies of the family and the company regarding the retirement age. Already on June 30, 2023, ERWO Holding Management Board member Hans-Georg von Schuh will retire as planned. ERWO Holding Management Board member Manfred Heinrich will also leave the Board as planned at this time and will continue to hold his mandate as one of the managing directors in the Südwolle Group together with Stéphane Thouvay and Johannes Rauch.

Steger’s designated successor as CEO of both companies is Manuela Spörl (50), currently CFO of ERWO Holding and also CFO of Hoftex Group. Hoftex Group is a group of medium-sized companies in the textile industry, in which ERWO Holding holds a significant stake. In addition, ERWO Holding acts as the parent company of the Südwolle Group, in which the Group’s worsted yarn activities are bundled.

She was granted power of attorney in 2015, followed by appointments as CFO of the Hoftex Group in 2020 and CFO of the ERWO Group in 2022. A search for a successor for Spörl in the position of CFO of the Hoftex Group and, subsequently, of ERWO Holding is currently underway. Until the new CFO takes office, the two members of the Management Board, together with the Supervisory Board, will ensure an orderly transition.

The announced change in the Management Board of ERWO Holding, which acts as the parent company of the Südwolle Group, also ensures continuity at the leading manufacturer of worsted yarns for weaving, circular and flat knitting products in pure wool and wool blends. In the future, the management of Südwolle Group will continue to consist of the longstanding members Manfred Heinrich (Technology, Production & Planning), Johannes Rauch (Finance & Controlling) and Stéphane Thouvay (Sales & Marketing and Product Management & Innovation). Together with the designated board member of the parent company ERWO Holding, they will continue the successful development of the Südwolle Group from a mere supplier to a strategic partner of its customers as well as the growth trend of recent years.

The founding family Steger remains involved in the various supervisory bodies of the group of companies and will continue to work closely with them as the sole shareholder of ERWO Holding.

Effective March 1st, Ib Jensen takes over from Jan Secher as Chief Executive Officer of Perstorp Group, a specialty chemicals company headquartered in Malmö, Sweden and since 2022 part of PETRONAS Chemicals Group Berhad (PCG).

Ib Jensen is a highly respected senior industry executive with a long career as CFO and extensive experience from M&A and integration of acquired companies, something that will be required in the next phase for Perstorp.

After more than 9 successful years as the CEO of Perstorp Group, Jan Secher has decided to step down. This decision is based on a personal direction set more than a year ago, prior to the acquisition by PCG, allowing for a full search process to be conducted for his replacement. Ib Jensen has been CFO of Perstorp for the past year and was considered the most qualified candidate based on his knowledge of the company, long term experience of the specialty chemicals industry and high level of appreciation in both Perstorp as well as in PCG. Previous experience include CFO and executive roles within Finance and IT at companies such as Arxada, Lonza, Syngenta, Danisco and LEGO.

The Trützschler Group SE has appointed Dr. Ulrich Schwenken and Heinrich Krull to its Board of Directors with effect from July 1, 2022. Dr. Schwenken will serve as Chief Executive Officer (CEO). Heinrich Krull will serve as Chief Operations Officer (COO).

Dr. Schwenken will assume responsibility for Development, Digitalization, IT and Corporate Communications. As a doctoral graduate specialized in engineering, he has many years of experience in automotive and mechanical applications. Since 2008, he has held various management positions in the areas of Service, Sales and Development at companies including Porsche AG and Volkswagen AG, where his responsibility covered a range of key topics such as digital transformation. Most recently, Dr. Schwenken served as CSO, CTO and CDO at Leistritz AG, and was responsible for the strategic focus on innovative growth areas.

Until his scheduled retirement at the end of 2022, Dr. Dirk Burger will act as Co-CEO to Dr. Schwenken.

AkzoNobel shareholders approve final dividend at Annual General Meeting

Shareholders voted to approve the resolutions presented at AkzoNobel’s virtual Annual General Meeting (AGM), including a final dividend of €1.54 per share, on the 22nd of April 2022.

All shareholders were able to attend and vote virtually, while questions could be asked live during the meeting, in addition to those that had been submitted in advance.

CFO Maarten de Vries was reappointed as a member of the Board of Management for a second four-year term. Mr. Nils Smedegaard Andersen and Mr. Byron Grote were reappointed as members of the Supervisory Board. Mr. Andersen was reappointed for a second four-year term and will continue as Chairman of the Supervisory Board. Mr. Grote was reappointed for a third term of two years.

The nominations of Mrs. Ester Baiget and Mr. Hans van Bylen to the Supervisory Board were also approved by the shareholders.

The Supervisory Board of Lenzing AG has appointed Stephan Sielaff, the former CTO/COO of Lenzing AG, as the new CEO effective April 01, 2022. He succeeds Cord Prinzhorn, who took over as interim CEO in the fourth quarter of 2021. Cord Prinzhorn will return to the Supervisory Board of Lenzing AG. The Managing Board will thus be reduced again from five to four members.

The Supervisory Board of Lenzing AG has appointed Stephan Sielaff, the former CTO/COO of Lenzing AG, as the new CEO effective April 01, 2022. He succeeds Cord Prinzhorn, who took over as interim CEO in the fourth quarter of 2021. Cord Prinzhorn will return to the Supervisory Board of Lenzing AG. The Managing Board will thus be reduced again from five to four members.

Stephan Sielaff holds a degree in chemical engineering and held various management positions at Unilever and Symrise from 1993 to 2014. Between 2014 and 2020, he was responsible for the strategic development of the company as a Member of the Board of Directors (COO) at the Swiss specialty chemicals company Archroma – an important supplier of the textile and paper industry. He was appointed Chief Technology Officer and COO of Lenzing AG as of March 01, 2020.

CFO Thomas Obendrauf has informed the Supervisory Board that he will not be available for a further extension of his contract, which expires in June 2022. The Supervisory Board of Lenzing AG is already working on a timely replacement. Mr. Obendrauf will be available to the company in an advisory capacity until a successor is appointed.

Peter Edelmann will leave the Supervisory Board upon his own request, effective April 26, 2022. Cord Prinzhorn will return to the Supervisory Board and will take over as Chairman.

Indorama Ventures strengthens its management council with new role rotations

Indorama Ventures Public Company Limited announced it has strengthened its Indorama Management Council (IMC) – the company’s highest operational management committee – by rotating experienced executives and adding the COOs of the Fibers and Integrated Oxides & Derivatives (IOD) segments.

The elevation of Mr Christopher Kenneally, COO of Fibers, and Mr Alastair Port, COO of IOD, to the IMC – will enable more agile decision making as they build their high-growth segments into self-sustaining organizations that maximize value for IVL stakeholders. The appointments are effective immediately.

Indorama Ventures Public Company Limited announced it has strengthened its Indorama Management Council (IMC) – the company’s highest operational management committee – by rotating experienced executives and adding the COOs of the Fibers and Integrated Oxides & Derivatives (IOD) segments.

The CPET role rotation will enable new dynamism in this largest segment of IVL and establish a self-sustaining organization for the permanent successor that IMC selects over this period. Mr Agarwal will be supported by Mr Ashok Jain in an enhanced role as Controller, covering Banking & Finance, Global Consolidation, Taxation and M&A.

Further, Mr Klaus Holz will join the IMC as Chief Human Resources Officer, effective 1 January 2022. He replaces Mr Roberto Bettini who will retire at the end of 2021.

Thomas Bucher has a long career in Finance, having held CFO roles with leading industrial and services companies as well as senior Finance roles in the chemical sector. Autoneum: Revenue development and personnel changes

Reflecting the pandemic-related drop in worldwide vehicle production, Autoneum’s revenue in local currencies fell by –18.7% in 2020, although the second half of the year saw a significant market recovery. Group revenue in Swiss francs fell by –24.2% year-on-year to CHF 1 740.6 million. For the full year 2020, the EBIT margin will be around 1.5% and the free cash flow slightly over CHF 100 million.
At the Annual General Meeting on March 25, 2021, the Board of Directors will propose Liane Hirner and Oliver Streuli for election to the Board of Directors of Autoneum Holding. Peter Spuhler will not stand for re-election.

At 74.5 million, the number of light vehicles produced globally in 2020 was down –16.2% compared to the previous year, where around 89 million vehicles were manufactured. Autoneum’s revenue in local currencies decreased by –18.7% in 2020, pretty much in line with the negative market dynamics. The somewhat stronger decline of revenue compared to the market results from a lower share of Asia in Autoneum's total revenue. Impacted by the appreciation of the Swiss franc against the most important currencies for Autoneum, the consolidated revenue dropped in 2020 by –24.2% to CHF 1 740.6 million. The heterogeneous development of the first and second half of the year was characteristic for the pandemic-driven automotive year 2020. Worldwide lockdowns and production stoppages at vehicle manufacturers led to a market slump in the first six months and a corresponding loss in revenue for Autoneum. Thanks to the subsequent market recovery and catch-up effects in the second half of the year, revenue improved considerably compared to the first half of the year.

Revenue development in Asia and SAMEA region significantly better than market
While revenues in local currencies of the highest-volume Business Groups Europe and North America decreased by –25.6% and –19.3% respectively, reflecting the regional, pandemic-driven market development (Europe: –22.9%; North America: –20.1%), Business Group Asia almost held its prior-year level with an organic decline of only –2.1% in 2020 thanks to the strong upturn in automobile production in China in the second half of the year and despite the fact that the number of vehicles produced in Asia fell by –11.4%.*

Personnel changes to the Board of Directors
At the Annual General Meeting on March 25, 2021, the Board of Directors of Autoneum Holding will propose Liane Hirner and Oliver Streuli for election as new members of the Board of Directors.
Liane Hirner has been CFO and member of the Management Board of Vienna Insurance Group, based in Vienna, Austria, since 2018.*

Oliver Streuli, a Swiss national, has been CEO of PCS Holding, based in Frauenfeld (Canton Thurgau), Switzerland, since 2019.*

Peter Spuhler has been a member of the Board of Directors of Autoneum since 2011 and will not stand for re-election at the Annual General Meeting on March 25, 2021.*

Wie am 17. August 2020 berichtet, hatte der Aufsichtsrat der SGL Carbon SE Thomas Dippold mit Wirkung zum 1. Dezember 2020 zum CFO und Mitglied des Vorstands der SGL Carbon SE bestellt. Erfreulicherweise kann Herr Dippold kurzfristig sein Amt als Vorstandsmitglied der SGL Carbon SE früher antreten, so dass der Aufsichtsrat der Gesellschaft seine Bestellung nun auf den 15. Oktober 2020 vorgezogen hat, auch um die geplante Übernahme der CFO-Position vorzubereiten.

Herr Dippold tritt wie berichtet zum 1. Dezember 2020 die Nachfolge des langjährigen Finanzvorstands Dr. Michael Majerus an, der zum 30. November 2020 in gutem gegenseitigen Einvernehmen aus seinem Amt ausscheidet.

Dr. Stephan Bühler legt plangemäß sein Amt als Vorstandsmitglied zum 15. Oktober 2020 nieder.

As reported on August 17, 2020, the Supervisory Board of SGL Carbon SE had appointed Thomas Dippold to CFO and member of the Board of Management of SGL Carbon SE effective December 1, 2020. Fortunately, Mr. Dippold is able to assume office of his mandate as member of the Board of Management of SGL Carbon SE earlier, so that the Supervisory Board of the company has brought forward the appointment to October 15, 2020, also to prepare for the planned assumption of the CFO position.

As previously reported, and effective December 1, 2020, Mr. Dippold is succeeding the long-standing CFO Dr. Michael Majerus, who is resigning from his office effective November 30, 2020 by mutual amicable consent.

As planned, Dr. Stephan Bühler resigned from his office as member of the Board of Management effective October 15, 2020.

Thomas Dippold (German Diploma in Business Administration, MBA in USA) began his career at HSBC Bank in London and Düsseldorf. Further appointments led him to Schott AG amongst others in Singapore, followed by commercial management jobs and CFO positions in internationally active industrial companies headquartered in Germany. Mr. Dippold is currently CFO of the stock listed transportation technology company Schaltbau Holding AG.

For nine months up to and including May 2020, Dr. Majerus additionally assumed nearly all responsibilities from the recently departed CEO and provided leadership to the Company as the Speaker of the Board of Management. In this position, he safely steered the Company through the immediate impacts of the Corona pandemic. In addition, he developed substantial future growth perspectives with, amongst others, the conclusion of a large supply agreement for fuel cell components. The Supervisory Board wishes him all the best and further success in his future endeavors.
