Autoneum: All proposals approved at Annual General Meeting 2023

At the Annual General Meeting of Autoneum Holding Ltd on 24th March 2023, a clear majority of the shareholders approved the introduction of a capital band in the amount of approximately CHF 100 million net proceeds to finance the acquisition of Borgers Automotive. The proposal to waive the payment of a dividend for the 2022 financial year in view of the lower net result was also approved. In addition, Board member Rainer Schmückle as well as CEO Matthias Holzammer were given a farewell.

221 shareholders attended today’s Annual General Meeting of Autoneum Holding Ltd in Winterthur. 66.48 percent of the share capital was represented.

The shareholders approved the Annual Report, the Annual Financial Statements and the Consolidated Financial Statements for 2022. The proposal of the Board of Directors to waive the payment of a dividend for the financial year 2022 due to the lower net result was also approved by the Annual General Meeting.

In addition, the shareholders of Autoneum Holding Ltd granted discharge to all members of the Group Executive Board and the Board of Directors by a large majority of votes.

Chairman Hans-Peter Schwald and the other members of the Board of Directors Liane Hirner, Norbert Indlekofer, Michael Pieper, Oliver Streuli and Ferdinand Stutz were confirmed in office for another year. Hans-Peter Schwald, Norbert Indlekofer, Ferdinand Stutz and Oliver Streuli were re-elected to the Compensation Committee.

The consultative vote on the 2022 remuneration report was approved by 85.55%. The proposals for the remuneration of the Board of Directors and the Group Executive Board for the 2023 financial year as well as the other proposals were also approved by a large majority.

With 99.03%, a clear majority of the shareholders approved a capital band authorizing a capital increase of approximately CHF 100 million net proceeds. The purpose of the capital increase is to partially finance the acquisition of the automotive business of the Borgers Group announced by Autoneum on January 9, 2023. The Annual General Meeting also approved the other proposals of the Board of Directors for partial amendments to the Articles of Association.

Rainer Schmückle did not stand for re-election. He had been Vice Chairman of the Board of Directors, Chairman of the Audit Committee and member of the Strategy and Sustainability Committee since Autoneum became independent in 2011. CEO Matthias Holzammer, who will leave Autoneum for family reasons, was also bid farewell.

At the same time, Hans-Peter Schwald welcomed the new CEO Eelco Spoelder, who will take over the management of the Group from Matthias Holzammer on March 27, 2023: "With Eelco Spoelder, Autoneum gains an accomplished leader with many years of experience in the automotive supply industry. At Faurecia and previously at Continental, Mr. Spoelder has successfully proven that he can ensure strategic continuity and operational excellence even in a difficult market environment. Eelco Spoelder new CEO of Autoneum

Matthias Holzammer is handing over the operational management of Autoneum for family reasons as of March 27, 2023. As his successor the Board of Directors has appointed Eelco Spoelder, who has over 25 years of experience in the automotive supply industry.

Eelco Spoelder has held global leadership positions in the automotive supply industry at Faurecia and previously Continental, where he ensured operational competence and strategic continuity even in a challenging market environment.
He has extensive experience in operations, manufacturing, purchasing, customer satisfaction, quality and IT and has proved successful in transforming businesses and delivering profitable growth. His core competencies include negotiating with an international network of customers and suppliers in the automotive supply industry. He is also deeply familiar with technology trends in the automotive industry.

Matthias Holzammer is handing over the operational management of Autoneum for family reasons as of March 27, 2023. As his successor the Board of Directors has appointed Eelco Spoelder, who has over 25 years of experience in the automotive supply industry.

Eelco Spoelder has held global leadership positions in the automotive supply industry at Faurecia and previously Continental, where he ensured operational competence and strategic continuity even in a challenging market environment.

Annual General Meeting approves dividend of CHF 1.50 per share

The shareholders of Autoneum Holding Ltd approved all proposals of the Board of Directors at today’s Annual General Meeting and agreed to the proposed dividend of CHF 1.50 per share. Norbert Indlekofer becomes a new member of the Compensation Committee following the previously announced departure of This E. Schneider.

In accordance with Ordinance 3 on Measures to Combat the Coronavirus (COVID-19), the Board of Directors of Autoneum Holding Ltd decided to hold the 2022 Annual General Meeting without the physical presence of the shareholders. For this reason, the Company asked them in advance to exercise their rights exclusively through the independent voting proxy. He represented 66.9% of a total of 4 672 363 shares.

The shareholders approved the Annual Report, the Annual Financial Statements and the Consolidated Financial Statements for 2021 as well as the proposed appropriation of available earnings. A dividend of CHF 1.50 per registered share will be paid out as of March 29, 2022. This corresponds to a distribution of around CHF 7 million, or around 30% of the consolidated profit attributable to Autoneum shareholders.

Hans-Peter Schwald, Chairman of the Board of Directors, emphasized in his video message that the return to profitability and the distribution of a dividend are to be viewed as a positive sign and a success, especially given the challenging environment. CEO Matthias Holzammer, for his part, indicated how important the corporate strategy is for the ongoing and future success of the Company and how it was implemented last year. In addition, he highlighted that through its own strengths Autoneum had managed to improve its operating result in all four regions and to position itself well for the future.

Chairman Hans-Peter Schwald and the other members of the Board of Directors Rainer Schmückle, Liane Hirner, Norbert Indlekofer, Michael Pieper, Oliver Streuli and Ferdinand Stutz were confirmed in office for another year. Hans-Peter Schwald, Ferdinand Stutz and Oliver Streuli were re-elected to the Compensation Committee. Newly elected to the Compensation Committee was Norbert Indlekofer.

Autoneum presents medium-term financial targets

Autoneum presented an insight into current market trends and the Company's strategic focus in the areas of electromobility and sustainability, as well as an outlook on its medium-term financial targets at the media and financial analysts brunch.

In addition to current market expectations and trends in the automotive industry, the focus will be on Autoneum’s activities and growth potential in the areas of e-mobility and sustainability. Matthias Holzammer, CEO, and other experts of the Company will present Autoneum's latest developments with regard to New Mobility and sustainable product innovations as well as their strategic classification. CFO Bernhard Wiehl will also present Autoneum's new medium-term financial targets.

Based on the further expansion of the portfolio with sustainable products and new applications for e-vehicles as well as the increase in market share with existing and new customers, particularly in Asia, the Company expects a profitable revenue growth at market level in the medium term. Based on the expected revenue development, further progress in the turnaround of North America as well as the consistently practiced operational excellence in all business areas, Autoneum targets an EBITDA margin of 13% in the medium term. Accordingly, a solid free cash flow in the amount of 6% of revenue and a further increase in the equity ratio to over 35% are targeted. The Company still intends to pay a dividend to shareholders of at least 30% of the profit attributable to Autoneum shareholders.

Autoneum appoints new Head of Corporate Communications

Claudia Güntert has been appointed Head of Corporate Communications at Autoneum as of November 1, 2021. She succeeds the Corporate Communications Head, Dr. Anahid Rickmann, who will be leaving the company per end of August 2021.

Claudia Güntert studied Jurisprudence at the University of Basel, Switzerland, as well as German and Eastern European Literature at the Universities of Basel and Zurich, Switzerland.

From 2008 to 2013, she was Marketing & Product Communications Manager at Von Roll Management AG in Wädenswil, Switzerland. She thereby gained broad experience in marketing and customer communications in the industry and a deep understanding of the industrial relations between suppliers and their customers. From 2013 until 2021, she was Head of Corporate Communications & Investor Relations at Von Roll Holding AG in Wädenswil and Breitenbach, Switzerland. In this leading position, she expanded her expertise in internal and external communication with a focus on company vision and strategy, branding, global change management, and social media presence. Claudia Güntert will report to Matthias Holzammer, CEO.

Anahid Rickmann strategically realigned the Company's communications after it became independent in 2011 and significantly shaped Autoneum's external perception and reputation. Her particular achievements include the measurable success of external communications, brand positioning and the launch of Autoneum's corporate responsibility strategy. CEO Matthias Holzammer and the Board of Directors would like to thank Anahid Rickmann sincerely for her successful, always dedicated and loyal service to Autoneum and wish her the best for her personal and professional future.

For September and October 2021, Luzia Schoeck, Communications Manager, will act as interim Head of Corporate Communications.

The Board of Directors of Autoneum Holding Ltd appoints Bernhard Wiehl, the longstanding Head of Finance & Controlling of Business Group Europe, as Chief Financial Officer (CFO) and member of the Group Executive Board with immediate effect. The previous CFO Dr Martin Zwyssig has decided to leave Autoneum.

The Board of Directors of Autoneum Holding Ltd appoints Bernhard Wiehl, the longstanding Head of Finance & Controlling of Business Group Europe, as Chief Financial Officer (CFO) and member of the Group Executive Board with immediate effect. The previous CFO Dr Martin Zwyssig has decided to leave Autoneum.

Bernhard Wiehl has been responsible for Finance & Controlling at Business Group Europe since 2013. Also thanks to his financial leadership, this Business Group with its numerous legal units has become highly profitable in recent years. Prior to joining Autoneum, he held senior finance and controlling positions with various automotive suppliers and has therefore extensive experience in the financial management of internationally active suppliers. Additionally, he is very familiar with the challenges of the automotive industry in a global environment. From 2007 to 2013, he was Head of Finance & Controlling and member of the Executive Board of the Lighting and Electronics division at the German automotive supplier Hella and from 2004 to 2007, among other things, in charge of controlling of the Europedivision of the supplier Hydraulik-Ring. Wiehl started his professional career in 1995 at TRW Automotive in Germany. He studied mechanical and industrial engineering at the Esslingen University of Applied Sciences, Germany, and holds a degree in industrial engineering (FH).

Bernhard Wiehl’s predecessor Dr Martin Zwyssig decided to leave the Company and to take up a new professional challenge. The Board of Directors and CEO Matthias Holzammer thank him for the commitment to the Company and wish him all the best for his professional and private future.

The Board of Directors of Autoneum Holding Ltd has appointed Matthias Holzammer, the former, long-term Head of Business Group Europe, as CEO with immediate effect. He is taking over from Martin Hirzel, who will be leaving the Company in agreement with the Board of Directors. Since the existing problems in North America are proving more challenging than expected, the Group's operating result in the second semester of 2019 will not improve, contrary to previous forecasts.

The Board of Directors of Autoneum Holding Ltd has appointed Matthias Holzammer, the former, long-term Head of Business Group Europe, as CEO with immediate effect. He is taking over from Martin Hirzel, who will be leaving the Company in agreement with the Board of Directors. Since the existing problems in North America are proving more challenging than expected, the Group's operating result in the second semester of 2019 will not improve, contrary to previous forecasts.

Matthias Holzammer has already demonstrated his operational expertise as the Company’s Head of Business Group Europe, which he successfully restructured from 2012 on and transformed into a highly profitable Business Group. Due to the severe operational and commercial issues in North America, the turnaround and improvement of results will take more time than expected. Matthias Holzammer will devote himself to this task with the highest priority, in order to return the Business Group and the Group back to profitability as quickly as possible. "In view of the current challenges in North America and the volatile global market environment, Matthias Holzammer is the ideal choice to lead the Company as CEO with his industry experience, knowledge of Autoneum and track record in restructuring”, said Hans-Peter Schwald, Chairman of the Board of Directors of Autoneum Holding Ltd.
