Lectra published financial report for the first nine months of 2022

Lectra’s Board of Directors, chaired by Daniel Harari, reviewed the consolidated financial statements for the third quarter and first nine months of 2022, which have not been reviewed by the Statutory Auditors.
To facilitate the analysis of the Group’s results, the financial statements are compared to those published in 2021 and to the 2021 pro forma financial statement ("2021 Pro forma"), prepared by integrating the three acquisitions made in 2021 – Gerber Technology (“Gerber”), Neteven, and Gemini CAD Systems (“Gemini”) – as if they had been consolidated from January 1, 2021, whereas they have been consolidated since June 1, July 28 and September 27, 2021 respectively.

INDA: Wes Fisher new Director of Government Affairs

INDA, the Association of the Nonwoven Fabrics Industry, has named government relations and external affairs strategist and advocate Wes Fisher as its new Director of Government Affairs to raise the association’s profile in Washington, D.C. He brings strong liaising skills advancing industries’ interest to regulatory agencies such as the Centers for Disease Control and Prevention, U.S. Department of Agriculture, Food and Drug Administration, and state-level departments.

Most recently, he was senior director of government affairs at the Pet Advocacy Network where he led government relations and legislative strategy for the pet care industry’s national trade association.  Fisher’s background includes providing testimony on hundreds of bills and regulations for associations and creating policy positions, notably on single-use plastics and sustainability.
He has held positions working at the American Legislative Exchange Council and then the National Automatic Merchandising Association where he led state government relations and external affairs for the 1,000-members representing the vending and retail industry.

Fisher holds a Bachelor’s degree in Political Science from James Madison University in Harrisonburg, VA. He also sits on the board of directors of the Washington Area State Relations Group, and was appointed by the Governor of Virginia to serve on the State Rare Disease Council.

GoodTextiles Foundation supports Indian village with cows

The GoodTextiles Foundation, initiated by Dibella, has implemented a new support project in India: Each family of a small village community of organic farmers received a cow from the donations received. The herd of fifty animals helps with farming, gives milk, produces sufficient natural fertilizer and should soon provide higher crop yields and a better income.

In 2016, Dibella established the GoodTextiles Foundation with the aim of making textile value chains more sustainable. It raises funds and implements its own support projects to benefit people at all stages of the textile economy. The most recent project, "One cow for every family," has now taken the first, important intermediate step: Fifty cows arrived in the small village of Aliguda Village (Utnoor Division, Adilabad, Telangana, India) at the beginning of June 2022.

"Some of our organic cotton is grown on the farms of the village community managed by the smallholder organization Chetna Organic. During the filming of the German documentary "plan b", the farmers told us that they need more natural fertilizer to cultivate their fields ecologically and economically. The biggest wish of each family is therefore a cow. However, they cannot afford this because of the high price of the equivalent of 300 euros. That's how the idea for our next sponsorship project was born," reports Ralf Hellmann, managing director of Dibella and member of the foundation's board of directors.

In addition to the most important reason for purchase - the production of fertilizer - the cows also serve as livestock. They are harnessed in front of the plow and make the strenuous work of tilling the soil easier for the farmers. As draft animals they serve to transport heavier loads, and as milk suppliers they contribute to a family's food supply. Surplus milk that is not needed in the household also provides families with an important additional income through sale.

Huntsman announces Agreement to sell Textile Effects Division

Huntsman Corporation (NYSE: HUN) announced it has entered into a definitive agreement to sell its Textile Effects division to Archroma, a portfolio company of SK Capital Partners.  The total enterprise value of the transaction is approximately $718 million, which includes the assumption of approximately $125 million in net underfunded pension liabilities as of December 31, 2021. The acquisition is being partially funded with preferred equity, of which Huntsman is taking up to $80 million, an amount SK Capital Partners will seek to syndicate prior to the transaction closing.

Over the last twelve months ending June 30, 2022, the Textile Effects division reported sales of $772 million and adjusted EBITDA of $94 million. Huntsman anticipates cash taxes on the transaction of approximately $50 million. Huntsman intends to report Textile Effects as discontinued operations beginning in the third quarter of 2022. The transaction is subject to regulatory approvals and other customary closing conditions and is expected to close in the first half of 2023.

Rieter continued to be successful in the market in the first half of 2022. Based on the company’s technology leadership, innovative product portfolio and the completion of the ring- and compact-spinning system, a high order intake and a significant increase in sales were generated. The increase in sales was achieved even though preproduced deliveries in the three-digit million range had to be postponed until the second half of 2022. The order backlog is at a record level. Despite higher sales, the significant increase in material and logistics costs, additional costs for compensation of the material shortages and the expenditure incurred for the acquisition in the years 2021/2022 resulted in a loss. Rieter is implementing an action plan to increase sales and profitability. The sales process for the remaining land owned by Rieter was initiated.

Order Intake and Order Backlog
Rieter posted an order intake of CHF 869.4 million, which included CHF 176.6 million from the businesses acquired in the years 2021/2022. As expected, demand has thus returned to normal compared with the exceptionally high figure for the prior-year period, but remains well above the average figure for the last five years of around CHF 570 million (first half 2021: CHF 975.3 million, first half 2022 excluding acquisition effect CHF 692.8 million).

The regional shift in demand with investments in additional spinning capacity outside China along with investments in the competitiveness of Chinese spinning mills continues. Rieter benefits from its technology leadership, the innovative product portfolio and the completion of the ring- and compact-spinning system through the acquisition of the automatic winding machine business. The largest order intakes came from India, Turkey, China, Uzbekistan, and Pakistan.

On June 30, 2022, the company had an order backlog of more than CHF 2 100 million (June 30, 2021: CHF 1 135 million). Cancellations in the reporting period amounted to around 5% of the order backlog.

Sales
The Rieter Group posted sales of CHF 620.6 million, which included CHF 68.9 million from the businesses acquired in the years 2021/2022 (first half 2021: CHF 400.5 million).

As a result, sales were significantly higher than in the prior-year period, although preproduced deliveries, which mainly affected the Business Group Machines & Systems, in the three-digit million range had to be postponed until the second half of 2022. The reasons for the postponements were the COVID lockdown in China and supply chain bottlenecks.

EBIT, Net Result and Free Cash Flow
Rieter posted a loss of CHF -10.2 million at the EBIT level in the first half of 2022.

Earnings were impacted by significantly higher material and logistics costs. The price increases already implemented are having a delayed effect, mainly in the Business Group Machines & Systems, and were therefore unable to compensate for the high increase in costs. In addition, costs in connection with material shortages negatively impacted profitability. The result also includes acquisition-related expenses of CHF -11.2 million.

The loss at the net result level was CHF -25.2 million, of which CHF -17.6 million was due to the acquisition.

Free cash flow was CHF -57.1 million, attributable to the build-up of inventories in connection with the high order backlog and postponed deliveries.

Action Plan to Increase Sales and Profitability
Rieter is implementing a comprehensive package of measures with the aim of increasing sales and profitability in the second half of 2022.

The package focuses on two main priorities: Firstly, Rieter is continuing to systematically implement price increases while working to improve the quality of margins of the order backlog, so as to compensate for cost increases in materials and logistics.
Secondly, Rieter is working closely with key suppliers and is developing alternative solutions to eliminate material bottlenecks, as far as possible, in order to safeguard deliveries.

Rieter Site Winterthur
The Board of Directors has decided to begin the process for the sale of the remaining land at the Rieter site in Winterthur (Switzerland). In total, around 75 000 m2 of land will be sold.

Outlook
As already reported, Rieter expects demand for new systems to normalize further in the coming months. Due to the capacity utilization at spinning mills, the company anticipates that demand for consumables, wear & tear and spare parts will remain at a good level.

For the full year 2022, due to the high order backlog and the consolidation of the businesses acquired from Saurer, Rieter expects sales of around CHF 1 400 million (2021: CHF 969.2 million). The reduced sales forecast compared to early 2022 (March 2022: CHF 1 500 million) reflects the impact of global supply bottlenecks. The realization of sales revenue from the order backlog continues to be associated with risks in relation to the well-known challenges.

Despite significantly higher sales, Rieter expects EBIT and net result for 2022 to be below the previous year’s level. This is due to the considerable increases in the cost of materials and logistics, additional costs for compensation of material shortages as well expenses in connection with the acquisition in the years 2021/2022. Despite the price increases already implemented, global cost increases continue to pose a risk to the growth of profitability.

The Trützschler Group SE has appointed Dr. Ulrich Schwenken and Heinrich Krull to its Board of Directors with effect from July 1, 2022. Dr. Schwenken will serve as Chief Executive Officer (CEO). Heinrich Krull will serve as Chief Operations Officer (COO).

Dr. Schwenken will assume responsibility for Development, Digitalization, IT and Corporate Communications. As a doctoral graduate specialized in engineering, he has many years of experience in automotive and mechanical applications. Since 2008, he has held various management positions in the areas of Service, Sales and Development at companies including Porsche AG and Volkswagen AG, where his responsibility covered a range of key topics such as digital transformation. Most recently, Dr. Schwenken served as CSO, CTO and CDO at Leistritz AG, and was responsible for the strategic focus on innovative growth areas.

As COO, he will be responsible for the areas of Production, Purchasing and Logistics, Quality Assurance as well as Supply Chain.

Until his scheduled retirement at the end of 2022, Dr. Dirk Burger will act as Co-CEO to Dr. Schwenken.

Fragnito will assume the position currently held by Dave Rousse, who will become President Emeritus and provide support and assistance to Fragnito as needed until Rousse fully retires in January, 2023.

Fragnito joined INDA November 29, 2021 as Chief Operating Officer and has been leading INDA’s implementation of its new Strategic Plan, as well as updating INDA’s technology platform. This follows decades of leadership experience assisting trade and professional organizations in realizing their organizational and operational potential. A certified public accountant, Fragnito brings strong financial acumen in addition to extensive information technology, human resource and program management accomplishments from organizations representing a variety of professions and industries.

  • They both become members of Lectra’s Audit Committee, Nominations Committee and Strategic Committee. Hélène Viot Poirier also becomes a member of the new CSR Committee.

Since 2020, as an Independent Senior Advisor, she has supported strategic internal and external growth projects in the fashion, digital and consumer goods sectors. Hélène Viot Poirier is a graduate of HEC Paris.

Rieter Annual General Meeting 2022

The Corona Virus also had an impact on the 131st Annual General Meeting of Rieter Holding Ltd., Winterthur, on Thursday, April 7, 2022.

Based on Article 27 of Regulation 3 on measures to combat the Corona Virus (COVID-19), the Board of Directors of Rieter Holding Ltd. decided that shareholders can exercise their voting rights exclusively by authorizing the independent proxy. Shareholders therefore could not attend the Annual General Meeting in person. The Annual General Meeting was held on the premises of Rieter Holding Ltd. at the company’s headquarters in Winterthur.

At the Annual General Meeting of Rieter Holding Ltd. on April 7, 2022, the independent proxy represented a total of 1 986 shareholders who hold 64.4% of the share capital.

The shareholders approved the proposal of the Board of Directors to distribute a dividend of CHF 4.00 per share. In addition, they approved the proposed maximum total amounts of the remuneration of the members of the Board of Directors and of the Group Executive Committee for fiscal year 2023.

Shareholders also adopted all other motions proposed by the Board of Directors, namely the approval of the annual report, the financial statements and the consolidated financial statements for 2021, and formal approval of the actions of the members of the Board of Directors and those of the Group Executive Committee in the year under review. In addition, the authorized capital was extended for a further two years.

Carbios, a pioneer in the development of enzymatic solutions dedicated to the end-of-life of plastic, announced its operating and financial results for the year 2021. The financial statements as of December 31, 2021, were approved by the Company’s Board of Directors at their meeting on March 31, 2022.

The shareholders of Autoneum Holding Ltd approved all proposals of the Board of Directors at today’s Annual General Meeting and agreed to the proposed dividend of CHF 1.50 per share. Norbert Indlekofer becomes a new member of the Compensation Committee following the previously announced departure of This E. Schneider.

In accordance with Ordinance 3 on Measures to Combat the Coronavirus (COVID-19), the Board of Directors of Autoneum Holding Ltd decided to hold the 2022 Annual General Meeting without the physical presence of the shareholders. For this reason, the Company asked them in advance to exercise their rights exclusively through the independent voting proxy. He represented 66.9% of a total of 4 672 363 shares.

The shareholders approved the Annual Report, the Annual Financial Statements and the Consolidated Financial Statements for 2021 as well as the proposed appropriation of available earnings. A dividend of CHF 1.50 per registered share will be paid out as of March 29, 2022. This corresponds to a distribution of around CHF 7 million, or around 30% of the consolidated profit attributable to Autoneum shareholders.

Chairman Hans-Peter Schwald and the other members of the Board of Directors Rainer Schmückle, Liane Hirner, Norbert Indlekofer, Michael Pieper, Oliver Streuli and Ferdinand Stutz were confirmed in office for another year. Hans-Peter Schwald, Ferdinand Stutz and Oliver Streuli were re-elected to the Compensation Committee. Newly elected to the Compensation Committee was Norbert Indlekofer.

The Supervisory Board of Lenzing AG has appointed Stephan Sielaff, the former CTO/COO of Lenzing AG, as the new CEO effective April 01, 2022. He succeeds Cord Prinzhorn, who took over as interim CEO in the fourth quarter of 2021. Cord Prinzhorn will return to the Supervisory Board of Lenzing AG. The Managing Board will thus be reduced again from five to four members.

Stephan Sielaff holds a degree in chemical engineering and held various management positions at Unilever and Symrise from 1993 to 2014. Between 2014 and 2020, he was responsible for the strategic development of the company as a Member of the Board of Directors (COO) at the Swiss specialty chemicals company Archroma – an important supplier of the textile and paper industry. He was appointed Chief Technology Officer and COO of Lenzing AG as of March 01, 2020.

CFO Thomas Obendrauf has informed the Supervisory Board that he will not be available for a further extension of his contract, which expires in June 2022. The Supervisory Board of Lenzing AG is already working on a timely replacement. Mr. Obendrauf will be available to the company in an advisory capacity until a successor is appointed.

Peter Edelmann will leave the Supervisory Board upon his own request, effective April 26, 2022. Cord Prinzhorn will return to the Supervisory Board and will take over as Chairman.

Order Intake and Sales
At the end of 2021, the company had an order backlog of around CHF 1 840 million (December 31, 2020: around CHF 560 million). Rieter closed the 2021 financial year with sales of CHF 969.2 million, which corresponds to an increase of 69% compared to the previous year (2020: CHF 573.0 million).

EBIT, Net Profit and Free Cash Flow
The profit at the EBIT level in the 2021 financial year was CHF 47.6 million, which represents 4.9% of sales. At the net profit level, a profit of CHF 31.7 million accrued, which corresponds to 3.3% in relation to sales. Free cash flow at CHF 128.1 million is a result of the positive developments in earnings and net working capital. The acquisition of three businesses from the Saurer Group for a purchase price of CHF 321.4 million resulted in net debt of CHF 161.9 million; as of December 31, 2020, net liquidity amounted to CHF 41.3 million. At December 31, 2021, liquid funds amounted to CHF 249.4 million (2020: CHF 283.2 million). The equity ratio as of December 31, 2021, was 27.6% (previous year’s reporting date: 36.4%).

Sales by Region
Sales increased in all regions, with the exception of Africa. The highest growth of CHF 126.0 million compared to CHF 50.8 million in the previous year was achieved in India, followed by North and South America with CHF 149.9 million in 2021 compared to CHF 66.4 million in the previous period, and the Asian countries excluding China, India and Turkey with CHF 318.7 million (2020: CHF 184.8 million). In Turkey, Rieter increased sales to CHF 182.3 million (2020: CHF 122.0 million), in China to CHF 135.3 million (2020: CHF 92.8 million) and in Europe to 43.3 million (2020: CHF 38.4 million). In Africa, sales were below the prior-year level at CHF 13.7 million (2020: CHF 17.8 million).

Business Groups
Despite the well-known challenges in the supply chain, the Business Group Machines & Systems posted an order intake of CHF 1 708.6 million (2020: CHF 363.9 million) and achieved sales of CHF 590.3 million, double the previous year’s figure (2020: CHF 295.8 million). Ring and compact-spinning systems, on whose customer benefits Rieter has worked intensively in recent years, were particularly in demand.
The order intake of the Business Group Components was CHF 296.0 million, 75% above the previous year’s level (2020: CHF 169.1 million). Against the backdrop of successful strategy implementation and good capacity utilization at spinning mills worldwide, sales increased to CHF 231.5 million (2020: CHF 174.3 million). The Business Group After Sales recorded an order intake of CHF 221.1 million, 106% higher than the previous year (2020: CHF 107.2 million). Sales reached a level of CHF 147.4 million (2020: CHF 102.9 million). The positive evolution of the Business Group After Sales was also significantly influenced by successful strategy implementation and good capacity utilization at spinning mills around the world.

Acquisition of three Saurer businesses
Effective from December 1, 2021, Rieter is consolidating the components businesses acquired from Saurer. With the acquisition of Accotex (elastomer components for spinning machines) and Temco (bearing solutions for filament machines), Rieter is strengthening its market position in the components business. The acquisition of the third business from Saurer (automatic winder) completes and thus considerably increases the attractiveness of Rieter’s ring and compact-spinning system. This acquisition marks an important milestone in the implementation of the company’s strategy as an innovative systems supplier. The transaction is expected to be finalized in the first half of 2022.

Rieter CAMPUS
On September 8, 2021, at the Winterthur location, the foundation stone was laid for the Rieter CAMPUS, which includes a customer and technology center as well as an administration building. With the Rieter CAMPUS, the company is creating a state-of-the-art and creative working environment, ensuring access to cutting-edge European technology and enhancing its ability to attract young talent. Thus, the Rieter CAMPUS will make an important contribution to the implementation of the innovation strategy and to the enhancement of the company’s technology leadership position.

Dividend
In view of the profit of CHF 31.7 million at the net profit level in the 2021 financial year, the Board of Directors proposes to the shareholders for 2021 the distribution of a dividend of CHF 4.00 per share. This corresponds to a payout ratio of 57%.

Changes to the Group Executive Committee
With effect from March 1, 2021, the Board of Directors of Rieter Holding AG appointed Roger Albrecht as Head of the Business Group Machines & Systems and a member of the Group Executive Committee.

Board of Directors and Annual General Meeting
At the 130th Annual General Meeting held on April 15, 2021, the shareholders approved all motions proposed by the Board of Directors. The Chairman of the Board Bernhard Jucker and the Directors This E. Schneider, Hans-Peter Schwald, Peter Spuhler, Roger Baillod, Carl Illi and Luc Tack were confirmed for a further one-year term of office. Stefaan Haspeslagh was newly elected to the Board of Directors for a one-year term of office. This E. Schneider, Hans-Peter Schwald and Bernhard Jucker, the members of the Remuneration Committee who were standing for election, were also each re-elected for a one-year term of office.

Changes to the Board of Directors
The two members of the Board of Directors, Luc Tack and Stefaan Haspeslagh, resigned from Rieter’s Board of Directors with effect from August 30, 2021.

Outlook
Rieter anticipates a gradual normalization of the demand for new systems in the coming months. The company expects demand for wear and spare parts to remain at a good level due to high capacity utilization at spinning mills. For the full year 2022, due to the high order backlog and the consolidation of the businesses acquired from Saurer, Rieter anticipates sales of around CHF 1 500 million. Sales in the second half of 2022 are expected to be higher than in the first half of the year. The realization of sales from the order backlog continues to be associated with risks in relation to the well-known bottlenecks in the supply chains, the ongoing pandemic and the geopolitical uncertainties. Despite the price increases already implemented, the rise in global costs poses a risk to the development of profitability.

This was achieved despite a slight decline in consolidated revenue to CHF 1.7 billion. Net profit amounted to CHF 30.1 million. In line with Autoneum’s longstanding dividend policy, the Board of Directors proposes a dividend of CHF 1.50 per share for the 2021 financial year.

This was achieved despite a slight decline in consolidated revenue to CHF 1.7 billion. Net profit amounted to CHF 30.1 million. We saw a number of global challenges again in 2021. The worldwide shortage of semiconductors dampened market development in the automobile industry. Although production volumes were almost the same in 2021, the year was more challenging from an operational perspective than 2020 was; supply chain bottlenecks led to short-term and unplanned production downtime at automotive manufacturers throughout the year. This resulted in frequent interruptions in production at Autoneum as well because of closely connected manufacturing processes. Rising costs for raw materials, energy, and transport presented additional challenges. Despite the challenging environment and weak global production volumes, Autoneum managed to return to profitability in 2021, generating a positive net result. Thanks to further operational improvements and optimization measures in all organizational areas, earnings were improved in all four Business Groups.

Outlook
According to market forecasts1), global automotive production will increase by around 9% year-onyear in 2022. The semiconductor shortage is likely to continue for some time into 2023; however, we anticipate that the situation will increasingly stabilize over the course of the financial year 2022 with higher volatility in the first half of the year. Autoneum’s revenue development is expected to be in line with the market. Based on market development, Autoneum is targeting an EBIT margin of 4–5% and free cash flow in the high double-digit million range. In addition to addressing the current semiconductor shortage situation, Autoneum will continue to pursue its consistent implementation of strategic priorities and initiatives. The potential impacts of the current Ukraine crisis on our business cannot be estimated at this point in time.

Sarah Kreienbühl holds both the Swiss and French citizenship and graduated from the University of Zurich with a degree in psychology. Daniel Grieder has been CEO of HUGO BOSS AG, based in Metzingen (Germany), since June 2021. He has been working successfully in the textile industry for more than 35 years: initially from 1985 to 2004 as an independent entrepreneur with his own sales agency, which worked for Tommy Hilfiger from 1997. He joined Tommy Hilfiger directly in 2004 and took on additional roles for PVH from 2010 to 2020. He most recently held the positions of Global CEO Tommy Hilfiger and CEO PVH Europe. Daniel Grieder is a Swiss citizen and studied at the Zurich School of Economics and Business Administration.

Elke Katz joins the board of the Beitlich Family Foundation

The Beitlich Family Foundation, owner of the CHT Group, has appointed Elke Katz as an additional member of the Foundation's Board of Directors, which includes the function of Supervisory Board, on 1 September 2021. Elke Katz is currently CEO of ratioform Verpackungen GmbH, a company of the Haniel Group, based in Munich.

She has extensive, cross-industry experience in strategic and operational corporate management at companies such as BMW and Telefonica. She holds a degree in business engineering and has extensive know-how in customer experience management, digital business and business development.

Energy supplies crisis: EURATEX calls for immediate support

On the occasion of EURATEX Board of Directors meeting, held in Brussels September 24, President Alberto Paccanelli issued an urgent appeal to European and national authorities to support the European textiles and clothing companies who face a massive increase in their energy costs.

“The cost of energy, in particular gas, has increased more than 3 times since the beginning of this year. Since the announcement of the EU’s “Fit for 55” package, we have seen CO² prices rising above €60. This inevitably has an impact on our competitiveness, especially in a global context.”.

EURATEX asks for immediate measures which can alleviate the burden of these energy cost, e.g. by reducing VAT on the energy bills. In the longer run, the EU should develop a smart strategy towards ensuring long term sustainable energy supply, at reasonable cost for the industry. If this is not considered, any attempt towards developing a new EU Industrial strategy will be meaningless, since competition with third countries will be devastating.
