GOTS Due Diligence Handbook for Auditors

Global Standard, the non-profit that manages the Global Organic Textile Standard (GOTS), in partnership with The Hague-based UpRights Foundation, announced the launch of the GOTS Due Diligence Handbook for Auditors. This landmark resource is a critical step in promoting sustainable practices, human rights and ethical business conduct across the textile sector and in line with evolving regulatory requirements around the world.

Purpose
The GOTS Due Diligence Handbook for Auditors provides a comprehensive framework to guide Certification Bodies and their auditors in assessing compliance with the GOTS 7.0 criteria. Specifically designed to be practical and ensure consistent verification of due diligence, human rights and social criteria, the Handbook outlines clear, step-by-step methodologies for auditors to conduct thorough and effective audits.
 
The Handbook is not intended to replace or override the existing audit protocols and procedures already used by Certification Bodies but instead provides additional insights and tools.
 
In addition, the new Handbook complements the GOTS Due Diligence Handbook for Certified Entities, which was released in 2023 and offers detailed guidance on integrating responsible practices throughout operations and supply chains. Together, these resources are essential elements of the Global Standard Due Diligence Framework and empower GOTS Certified Entities and Certification Bodies to play their part in maintaining the highest standards of human rights and environmental due diligence.
 
Development of the Handbook
As with other Global Standard resources, the development of the GOTS Due Diligence Handbook for Auditors was an inclusive process involving extensive consultation with a wide range of stakeholders. Global Standard's Standard Development Unit conducted in-depth interviews with GOTS auditors to gain insight into the practical challenges and best practices in verifying compliance with human rights, social and due diligence criteria in different geographical regions. In addition, Global Standard engaged business and human rights experts to address sector-specific issues and complexities. This collaborative approach ensures that the Handbook reflects the operational realities and challenges of GOTS Certified Entities around the world.
 
Regulatory Landscape
The Handbook’s release is timely given the evolving global regulatory landscape, which is increasingly demanding stronger corporate accountability in business practices. Recently, the EU Corporate Sustainability Due Diligence Directive (CSDDD) introduced mandatory due diligence requirements for companies operating within the EU. The introduction of CSDDD significantly elevates standards for corporate transparency and accountability. Other laws, including Germany’s Supply Chain Act, France’s Duty of Vigilance Law and Norway’s Transparency Act, are placing similar expectations on businesses to manage their human rights and environmental impacts responsibly.
 
GOTS 7.0 requires Certified Entities to respect universally recognised human rights criteria and follow the emerging legal obligations under the CSDDD and other due diligence laws.

Lenzing AG: Elections to the Supervisory Board

On Thursday, April 18, 2024, the 80th Annual General Meeting of Lenzing AG discharged the members of the Managing Board and the Supervisory Board for the 2023 financial year and set the remuneration of the members of the Supervisory Board for the 2024 financial year in advance.

Dr. Markus Fürst retired from the Supervisory Board at his own request with effect from the end of the General Meeting. Dr. Markus Fürst has been a member of the Supervisory Board and various committees of Lenzing AG since 2021.

The General Meeting elected Dr. Cornelius Baur as a new member of the Supervisory Board of Lenzing AG until the end of the General Meeting that decides on the discharge for the 2028 financial year. In addition, Melody Harris-Jensbach’s mandate was extended until the Annual General Meeting that decides on the 2028 financial year.

In the constitutive meeting of the Supervisory Board following the Annual General Meeting, Cord Prinzhorn, MBA, was elected Chairman and Dr. Stefan Fida was re-elected as Deputy Chairman of the Supervisory Board.

KPMG Austria GmbH Wirtschaftsprüfungs- u. Steuerberatungsgesellschaft was appointed as the auditor for the annual financial statements and the consolidated financial statements for the 2024 financial year.

AkzoNobel: Nominations for Supervisory Board

AkzoNobel has announced that Mrs. Jaska de Bakker, Mrs. Ute Wolf and Mr. Wouter Kolk will be nominated for appointment to the company’s Supervisory Board, while Mr. Byron Grote – currently Deputy Chair and Chair of the Audit Committee – will be nominated for a fourth term of one year.

Mrs. De Bakker is a financial leader with experience in strategy, governance and ESG. Currently a board member at various companies, she was previously CFO at Royal FrieslandCampina and at Royal HaskoningDHV.
 
Mrs. Wolf is a seasoned finance professional with more than 25 years of experience in financial management and corporate planning. She served as CFO of Evonik Industries AG for ten years and, prior to that, she held several senior positions within various industries and companies.
 
Mr. Kolk is the current CEO of Ahold Delhaize Europe and Indonesia. With more than 32 years of experience in commercial, operational, supply chain, strategic and general management roles, he brings a wealth of knowledge in different geographies and businesses.

His re-appointment also ensures continuity during the change of the PWC lead partner in charge of the AkzoNobel account, as of the audit of the 2024 financial statements.  

The appointments and re-appointment will be put to shareholders for approval at the Annual General Meeting being held on April 25. Mrs. Pam Kirby, who is completing her second four-year term, will step down as member of the Supervisory Board as per the same date.

OUTLOOK
While the 2023 full-year results were affected by the adverse environment, they also attest to the substantial improvement in the fundamentals of the Group's business model, which will have a positive impact on 2024 results. Persistent macroeconomic and geopolitical uncertainties could nevertheless continue to weigh on investment decisions by the Group's customers.

While the most recent indicators seem to suggest that the situation is unlikely to deteriorate further, the timing and magnitude of a rebound in new system orders remain uncertain.

Outlook for 2024
To facilitate analysis, the accounts of Lectra excluding the Launchmetrics acquisition ("Lectra 2023 Scope") will be analysed separately from the Launchmetrics accounts in 2024.

The Group has based its 2024 objectives on the exchange rates in effect on December 29, 2023, in particular $1.10/€1. When converting 2023 results using the exchange rates retained for 2024, 2023 revenues are mechanically reduced by 4.7 million euros (to 472.9 million euros) and 2023 EBITDA before non-recurring items is reduced by 2.2 million euros (to 76.8 million euros). Thus, for the Lectra 2023 Scope, the comparisons between 2024 and 2023 printed below are based on constant exchange rates.

At this early stage of 2024, continuing low visibility regarding orders and revenues from new systems makes it impossible to predict the actual timing and scale of the future rebound in this area. On the other hand, visibility is high for recurring revenues, which accounted for 68% of total revenues in 2023 and will continue to grow in 2024.

In light of the above, Lectra has set as its objective for 2024, for the Lectra 2023 Scope, to achieve revenues in the range of 480 to 530 million euros (+2% to +12%) and EBITDA before non-recurring items in the range of 85 to 107 million euros (+10% to +40%).

The low end of the revenues range is based on the absence of a rebound in new systems orders, which would remain stable in 2024 relative to 2023, with a 6% decline in revenues from perpetual software licenses, equipment and accompanying software and non-recurring services, as the order backlog was lower on December 31, 2023 than a year before.

The high end of the revenues range reflects a gradual rebound in new systems orders, which at year-end 2024 would be back to year-end 2022 level.
 
In addition, Launchmetrics revenues (for the consolidation period from January 23 to December 31) are projected to be in the range of 42 to 46 million euros, with an EBITDA margin before non-recurring items of more than 15% (assuming an exchange rate of $1.10/€1).

Business Trends and Outlook
In its 2022 Financial Report, published February 8, 2023, Lectra presented its new roadmap for 2023-2025. The Group also specified that 2023 remained unpredictable given the degraded macroeconomic and geopolitical environment, which resulted in many uncertainties that could continue to weigh on its customers’ investment decisions.

At the beginning of the year, the Group set itself objectives of achieving, in 2023, revenues in the range of 522 to 576 million euros and EBITDA before non-recurring items in the range of 90 to 113 million euros. It subsequently reported on April 27 that it then anticipated revenues in the range of 485 to 525 million euros and EBITDA before non-recurring items in the range of 78 to 95 million euros.

In what continues to be a highly degraded environment in macroeconomic and geopolitical terms, orders and revenues from new systems in Q3 were lower than anticipated by the Group. Recurring revenues, on the other hand, which should account for over 65% of total revenues in 2023, continued to grow in Q3, and provide good visibility. In addition, the initial measures to reduce overhead costs have begun to bear fruit.

In light of these factors, full-year revenues are now anticipated in the range of 474 to 481 million euros, thus slightly lower than anticipated on April 27, and EBITDA before non-recurring items in the range of 78 to 82 million euros, in the lower part of the range indicated on April 27. These scenarios are based on September 30 exchange rates for Q4, including $1.06 to the euro.

Because the Group's customers operate in a highly competitive environment that demands they continue to improve performance, their investments will pick up as soon as the macroeconomic situation improves. Lectra's roadmap for 2023-2025, which was launched on January 1, 2023, will enable the Group to take full advantage of the upturn and accelerate its growth.

At the beginning of the year, the Group had set itself objectives of achieving, in 2023, revenues in the range of 522 to 576 million euros and EBITDA before non-recurring items in the range of 90 to 113 million euros.

Given the delay in orders for new systems in the first quarter, and poor visibility on new systems orders for subsequent quarters, the Group reported on April 27 that it now anticipated revenues in the range of 485 to 525 million euros (-5% to +3% at constant exchange rates relative to 2022) and EBITDA before non-recurring items in the range of 78 to 95 million euros (-15% to +3% at constant exchange rates relative to 2022). The Group also noted that despite limited visibility regarding new systems orders over the next few quarters, there is strong visibility regarding recurring revenues, which should enjoy substantial growth and account for 65% of total revenues in 2023. These revised scenarios had been prepared on the basis of the closing exchange rates on April 27, 2023, for the remaining nine months of the year, and particularly $1.10/€1.

The results of the second quarter support these revised objectives.

A 1-cent appreciation of the euro against the U.S. dollar in the second half of the year (at an exchange rate of $1.10/€1) would mechanically decrease revenues by approximately 1.0 million euros and EBITDA before non-recurring items by 0.45 million euros. On the contrary, a 1-cent fall in the euro against the dollar would mechanically raise revenues and EBITDA before non-recurring items by the same amounts.

Because the Group's customers operate in a highly competitive environment that demands they continue to improve performance, their investments will pick up as soon as the macroeconomic situation improves. Lectra's roadmap for 2023-2025, which was launched on January 1, 2023, will enable the Group to take full advantage of the upturn and accelerate its growth.

By way of a consultative vote, the shareholders also approved the Remuneration Report 2022.

In two separate binding votes, the proposed maximum total remuneration of the members of the Board of Directors and the Group Executive Committee for the 2024 financial year was approved.

Re-Election of the Members of the Board of Directors
The Chairman of the Board, Bernhard Jucker, and the Directors, Hans-Peter Schwald, Peter Spuhler, Roger Baillod, Carl Illi, Sarah Kreienbühl and Daniel Grieder were confirmed for a further one-year term of office. In addition, Thomas Oetterli was newly elected to the Board of Directors for a term of office.

The members of the Remuneration Committee who were standing for election –
Hans-Peter Schwald, Bernhard Jucker and Sarah Kreienbühl – were likewise re-elected for a one-year term of office.

Election of KPMG as Statutory Auditors
The shareholders also adopted the proposal of the Board of Directors to elect KPMG AG, Zurich, as new statutory auditors for the financial year beginning January 1, 2023.

Amendments to the Articles of Association
The shareholders further approved the proposals of the Board of Directors to amend the Articles of Association of Rieter Holding Ltd., in order to implement the requirements of the reform of the Swiss company law, which came into force on January 1, 2023.

After the DOWNPASS Standard entered into force as a zero-tolerance standard on 1 January 2017, its first major revision is due in 2022/23. The stakeholder-based approach has again sought feedback from professional and relevant public communities for its first major revision, as it did originally when it was first developed: In addition to animal welfare organisations, veterinarians and agricultural scientists, many trade partners and consumers have also contributed to the discussion with their wishes and requirements.

A central aspect of the DOWNPASS standard is the exclusion of all goods from live animals. Down and feathers may neither come from moulting nor from live plucking. Accredited independent auditing organisations are responsible for monitoring and inspecting the manufacturers' supply chains on site worldwide. Intensified monitoring of high-risk areas is mandatory, but its frequency is left to the discretion of the auditors, who inspect farms both announced and unannounced.

Down and feathers, which are used as filling material for DOWNPASS labelled finished products, may only be obtained after slaughter. This must be clearly verifiable. In this respect, all poultry farms that have animals slaughtered for the purpose of food production are covered - regardless of whether these come from parent or rearing farms or from farms that both rear ducklings and goslings besides keeping parent animals.

Parent vs. rearing farms - new mandatory requirement
The vast majority of all poultry farms raise chicks themselves for food or to keep them later as adults for egg laying. So, when the current DOWNPASS speaks of rearing farms or rearing, the term always covers both variants.
Pure parent farms that do not raise chicks themselves but buy in the adult ducks and geese to lay eggs are rare. For this, the standard had an optional additional module that referred to waterfowl, i.e. jointly to ducks and geese.

Since live plucking of ducks is not known and this has been confirmed by veterinarians and agronomists, the DOWNPASS 2019 had enabled the optional auditing of pure goose parent stock farms, being no rearing farms, via an annex. This hitherto voluntary option has been tested in practice over the past three years and met with consistently positive feedback from both producers and trade partners. Therefore, the auditing of goose farms will be a mandatory part of the new version of the DOWNPASS standard in the future. The option for the voluntary goose parent audit will be dropped as well as the one for the simultaneous auditing of duck and goose parent farms.

Resolutions adopted by the virtual Annual General Meeting of Lenzing AG

At the 77th Annual General Meeting of Lenzing AG, which was once again held virtually on April 14, 2021 via livestream due to the COVID-19 pandemic, the members of the Managing Board and Supervisory Board were formally discharged from liability for the business year 2020. KPMG Austria GmbH Wirtschaftsprüfungs- u. Steuerberatungsgesellschaft was appointed to serve as the auditor of the annual financial statements and consolidated annual financial statements for the business year 2021.

Furthermore, the Annual General Meeting adopted the resolution on the compensation to be paid to Supervisory Board members as well as the principles underlying the remuneration of the members of the Managing Board. In addition to financial performance criteria, the remuneration policy of Lenzing AG regulating the multi-year, performance-oriented remuneration paid to the Managing Board members will also be linked in the future to non-financial sustainability criteria (ESG) designed to further promote the sustainable business strategy of Lenzing AG.

Fully on track strategically
The Managing Board of Lenzing AG presented the business development of the year 2020, a strategic outlook and sustainability strategy including the relevant roadmap to achieve climate targets to the participating shareholders. In 2019, Lenzing made a strategic commitment to reducing its greenhouse gas emissions per ton of product by 50 percent by the year 2030. The goal is to operate in a climate-neutral manner by 2050.

The substantial investments made in Thailand and Brazil not only support Lenzing in its transformation to a supplier of environmentally compatible specialty fibers but also comprise an important milestone on this journey which sustainably increases the company’s enterprise value.

The implementation of these two key projects is proceeding ahead as planned in spite of the direct impacts of the coronavirus crisis. The pulp plant in Brazil is scheduled to be put into operation in the first half of 2022 and will significantly increase Lenzing’s own in-house supply of dissolving pulp. Production in Thailand is expected to commence towards the end of 2021, further raising the share of eco-friendly specialty fibers in the Lenzing product portfolio.

New appointments to the Supervisory Board
Dr. Veit Sorger retired from the Supervisory Board of Lenzing AG on his request effective at the end of the Annual General Meeting. Veit Sorger had been a Member of the Supervisory Board since 2004 (also serving as Deputy Chairman since 2011) and served on various Supervisory Board committees.

The Annual General Meeting elected Dr. Markus Fürst, Managing Director of B&C Industrieholding GmbH, and Thomas Cord Prinzhorn, MBA, CEO of Prinzhorn Holding GmbH, to serve on the Supervisory Board until the end of the Annual General Meeting resolving upon the discharge of the Supervisory Board members for the business year 2024.

During the audit preceding the certification, the independent environmental auditor thoroughly investigated all departments of the company, from the production itself to the company canteen. In contrast to the EU Ecolabel and similar certifications, EMAS does not apply to individual products or services, but certifies the complete environmental performance of the company. This benefits not only the protection of the environment and climate, but also the improvement of a company’s ecoefficiency.

Today, environmental not-for-profit organization Canopy, third-party auditor NEPCon, and Kelheim Fibres released the results of Kelheim’s CanopyStyle Audit. The company’s current supply chain is confirmed as low risk of sourcing wood from Ancient and Endangered Forests or other controversial sources.

Key findings of the audit include:

  • The company is at low risk of sourcing from Ancient and Endangered Forests;
  • The company has a limited fibre basket and uses a significant proportion of FSC-certified fibres in its viscose products; and
  • The company has begun supporting forest conservation solutions in key areas of Ancient and Endangered Forests.

In the spirit of continuous improvement, Canopy recommends that the company increase the proportion of FSC-certified fibre, and make efforts to source 100% FSC, as well as continue to invest in research and development of low-impact alternative fibres, with the goal of launching a fibre line that contain these products.

Virginia-based Launderer Recognized for Commitment to Sustainability and Conservation Practices
Handcraft Linen Services, the Richmond, VA-based independent medical launderer, has been certified Clean Green, reflecting the company’s dedication to operational efficiency and sustainability. Linen, uniform and facility services companies receive this distinction by adhering to TRSA-designated water and energy use thresholds and deploying best management practices (BMPs) consistent with the ASTM International environmental laundering standard.
 
Handcraft Linen Services’ customers can be assured their reusable healthcare textiles are washed, dried and finished with processes that maximize sustainability and reduce greenhouse emissions. Clean Green certified operations demonstrate significant commitment to conservation and green operations through these BMPs:
•             Recovering heat from drained hot water and heat dispersed from the process of warming water
•             Recapturing drained water from rinses for reuse

The Clean Green certification is valid for three years at a time. TRSA inspects laundry facilities seeking certification and approves documentation of their water and energy use and BMP deployment through production reports they submit to auditors during the inspections. TRSA’s certification management protocol includes auditor training by the association’s inspection program administrator.
Clean Green aligns with the ASTM International standard, Guide for Sustainable Laundry Practices, which recognizes key criteria for the certification as universal indicators of maximum sustainability in commercial laundry work. ASTM’s review of TRSA BMPs verified these as the most effective and practical techniques for a laundry to achieve green objectives.
TRSA members prompted development of the standard, which was vetted in the sustainability subcommittee of the ASTM Committee on Textiles. Top technical experts, scientists and environmental professionals from outside the linen, uniform and facility services industry reviewed the BMPs. ASTM is the global leader in developing and delivering voluntary consensus standards unparalleled in building consumer confidence in product and service quality.
