OEKO-TEX® Annual Report 2022/2023: 21% growth

The international OEKO-TEX® Association, offering collaborative solutions for partners in the textile and leather industry, has once again recorded positive business development. Overall, OEKO-TEX® issued more than 43,000 certificates and labels between July 1, 2022, and June 30, 2023 - an increase of 21% compared to the previous financial year. The MADE IN GREEN product label recorded the strongest growth of 52%. OEKO-TEX® continues to drive urgently needed change through cooperation and joint action - with their services and at the organizational level.

OEKO-TEX® continues to drive urgently needed change through cooperation and joint action - with their services and at the organizational level.

For their two new certifications, OEKO-TEX® focused on cooperation with numerous parties along the global supply chain. Launched in November 2022, OEKO-TEX® RESPONSIBLE BUSINESS addresses the increasing global expectations and due diligence requirements. The tool and certification supports textile and leather companies in preventing negative effects from their own business operations, supply chains and broader business relationships. Companies working with OEKO-TEX® ORGANIC COTTON benefit from a global network of certified companies to facilitate sourcing of chemicals, materials and business partners - from cultivation to finished product.

At the organisational level, OEKO-TEX® is focusing on partnerships with multi-stakeholder initiatives to include as many different perspectives as possible and allow all parties to benefit. Working with ZDHC to promote sustainable chemical management and becoming an ISEAL community member are just two of many collaborations for OEKO-TEX®, which is striving to address the industry's most pressing challenges.

Meanwhile, the Association’s core business advances. For example, based on industry developments and scientific findings, OEKO-TEX® issued a general ban on the use of per- and polyfluorinated alkyl substances (PFAS/PFC) in textiles, leather and shoes certified by STANDARD 100, ORGANIC COTTON, LEATHER STANDARD and ECO PASSPORT. OEKO-TEX® also surpassed the milestone of 1,000 STeP certified production facilities. OEKO-TEX® is in a strong position to continue its work - enabling the industry and consumers to make more responsible decisions through partnership and education.

SGL Carbon SE confirms full-year guidance 2023

According to preliminary figures for H1 2023, SGL Carbon's Group sales increased year-on-year from €549.8 million to €560.5 million, with EBITDApre1 almost unchanged at €88.0 million (H1 2022: €87.9 million). The expected good business performance of the Business Unit Graphite Solutions and the better-than-expected sales and earnings development of the segments Process Technology and Composite Solutions compensated the drop in demand in the Business Unit Carbon Fibers.

According to preliminary figures for H1 2023, SGL Carbon's Group sales increased year-on-year from €549.8 million to €560.5 million, with EBITDApre1 almost unchanged at €88.0 million (H1 2022: €87.9 million). The expected good business performance of the Business Unit Graphite Solutions and the better-than-expected sales and earnings development of the segments Process Technology and Composite Solutions compensated the drop in demand in the Business Unit Carbon Fibers.

Graphite Solutions (GS) increased sales by 15.3% year-on-year to €280.6 million and EBITDApre by 20.6% to €65.1 million. With a 30.9% rise in sales (€64.4 million) and a significant improvement in EBITDApre from €4.1 million to €11.9 million, the business performance of Process Technology (PT) was significantly ahead of the original budget. Composite Solutions (CS) also reported a higher-than-expected sales increase of 14.4% to €79.6 million in H1 2023 and an increase in EBITDApre of 26.8% to €12.3 million compared to H1 last year. By contrast, the business performance of the Carbon Fibers (CF) unit was not in line with expectations, with a 28.9% decline in sales to €125.1 million and an EBITDApre contribution of €6.1 million (-78.4% compared to the 1st half of the previous year).

An important market segment of the Carbon Fibers Business Unit is the wind industry. Demand for carbon fibers for the wind industry has declined sharply since the beginning of the year. According to current estimates, the expected recovery in demand in H2 2023 will not materialize for the time being. SGL Carbon expects customer demand from the wind industry to pick up in 2024.

Based on this, an impairment loss of between €40-50 million will be recognized on the assets of the Carbon Fibers Business Unit as of June 30, 2023. The impairment relates exclusively to Carbon Fibers, the operating business of the other Business Units is not affected.

SGL Carbon's equity ratio after the impairment as of June 30, 2023 is approximately 36% (December 31, 2022: 38.5%).

On April 20, 2023, 325 shareholders, who represent 66.2% of the share capital, attended the 132nd Annual General Meeting of Rieter Holding Ltd.

Dividend
The shareholders approved the proposal of the Board of Directors to distribute a dividend of CHF 1.50 per share. The dividend for the 2022 financial year will be paid on April 24, 2023.

Moreover, they formally approved the actions of the members of the Board of Directors and those of the Group Executive Committee in the year under review.

By way of a consultative vote, the shareholders also approved the Remuneration Report 2022.

Remuneration of the Members of the Board of Directors and the Group Executive Committee
In two separate binding votes, the proposed maximum total remuneration of the members of the Board of Directors and the Group Executive Committee for the 2024 financial year was approved.

Re-Election of the Members of the Board of Directors
The Chairman of the Board, Bernhard Jucker, and the Directors, Hans-Peter Schwald, Peter Spuhler, Roger Baillod, Carl Illi, Sarah Kreienbühl and Daniel Grieder were confirmed for a further one-year term of office. In addition, Thomas Oetterli was newly elected to the Board of Directors for a term of office.

The members of the Remuneration Committee who were standing for election –
Hans-Peter Schwald, Bernhard Jucker and Sarah Kreienbühl – were likewise re-elected for a one-year term of office.

Election of KPMG as Statutory Auditors
The shareholders also adopted the proposal of the Board of Directors to elect KPMG AG, Zurich, as new statutory auditors for the financial year beginning January 1, 2023.

Amendments to the Articles of Association
The shareholders further approved the proposals of the Board of Directors to amend the Articles of Association of Rieter Holding Ltd., in order to implement the requirements of the reform of the Swiss company law, which came into force on January 1, 2023.

At the Annual General Meeting of Autoneum Holding Ltd on 24th March 2023, a clear majority of the shareholders approved the introduction of a capital band in the amount of approximately CHF 100 million net proceeds to finance the acquisition of Borgers Automotive. The proposal to waive the payment of a dividend for the 2022 financial year in view of the lower net result was also approved. In addition, Board member Rainer Schmückle as well as CEO Matthias Holzammer were given a farewell.

221 shareholders attended today’s Annual General Meeting of Autoneum Holding Ltd in Winterthur. 66.48 percent of the share capital was represented.

The shareholders approved the Annual Report, the Annual Financial Statements and the Consolidated Financial Statements for 2022. The proposal of the Board of Directors to waive the payment of a dividend for the financial year 2022 due to the lower net result was also approved by the Annual General Meeting.

Hans-Peter Schwald, Norbert Indlekofer, Ferdinand Stutz and Oliver Streuli were re-elected to the Compensation Committee.

The consultative vote on the 2022 remuneration report was approved by 85.55%. The proposals for the remuneration of the Board of Directors and the Group Executive Board for the 2023 financial year as well as the other proposals were also approved by a large majority.

With 99.03%, a clear majority of the shareholders approved a capital band authorizing a capital increase of approximately CHF 100 million net proceeds. The purpose of the capital increase is to partially finance the acquisition of the automotive business of the Borgers Group announced by Autoneum on January 9, 2023. The Annual General Meeting also approved the other proposals of the Board of Directors for partial amendments to the Articles of Association.

Rainer Schmückle did not stand for re-election. He had been Vice Chairman of the Board of Directors, Chairman of the Audit Committee and member of the Strategy and Sustainability Committee since Autoneum became independent in 2011. CEO Matthias Holzammer, who will leave Autoneum for family reasons, was also bid farewell.

At the same time, Hans-Peter Schwald welcomed the new CEO Eelco Spoelder, who will take over the management of the Group from Matthias Holzammer on March 27, 2023: "With Eelco Spoelder, Autoneum gains an accomplished leader with many years of experience in the automotive supply industry. At Faurecia and previously at Continental, Mr. Spoelder has successfully proven that he can ensure strategic continuity and operational excellence even in a difficult market environment. I and the other members of the Board of Directors warmly welcome Eelco Spoelder and look forward to our future cooperation."

Autoneum: Revenue growth in 2022

For the first time in two years, global automotive production recorded a significant increase in full-year 2022 with 82.0 million vehicles produced (2021: 77.2 million vehicles) and growth of 6.2%, driven by the regions Asia and North America, but remained below 2019 levels.
Autoneum's revenue in local currencies increased significantly by 8.5%, largely due to inflation-related compensation. In the regions Europe and Asia, Autoneum's production volumes developed below market. Compared to the July 2022 estimate, revenue was around CHF 90 million lower than assumed due to volume factors. The strong fluctuations in production volumes due to vehicle manufacturer supply chain issues continued in 2022 and were exacerbated by the war in Ukraine in Europe and by COVID-related lockdowns in Autoneum's Asian main market China. Consolidated revenue in Swiss francs increased by 6.1% year-on-year to CHF 1 804.5 million (2021: CHF 1 700.4 million) due to the strong Swiss franc.

Revenue development in the regions
In local currencies, revenue of Business Group Europe increased by 2.7%, while production volumes of vehicle manufacturers decreased by 1.3%. The growth in revenue resulted from inflation compensation, while Autoneum's production volumes were significantly lower compared to the previous year. Business Group North America increased its revenue in local currencies by 11.0%. The number of vehicles produced increased by 9.7% year-on-year. Volume development at Autoneum’s North American plants clearly improved compared with 2021 due to the allocation of semiconductors to the vehicle models supplied by Autoneum. Revenue of Business Group Asia declined by 2.7% in local currencies, and thus was significantly below the market (+7.7%). Autoneum's production facilities in its main market China are located in regions that were hit particularly hard by the COVID-related lockdowns. Growth in China was also driven by Chinese vehicle manufacturers, with whom Autoneum generated only little revenue last year.
Business Group SAMEA (South America, Middle East and Africa) achieved hyperinflation-adjusted revenue growth in local currencies of 65.2% year-on-year. This increase was mainly due to inflation compensation and in terms of volume slightly outperformed the market, which grew by 7.5%.

Due to significantly lower production volumes in Autoneum's regions Europe and Asia of around CHF 90 million compared to the half-year estimate and further increases in energy costs in the second half of the year, Autoneum expects the full-year 2022 result to be at the lower end of the guidance published on June 15, 2022.

The full year-end financial statements and the Annual Report 2022 will be presented at the Media Conference on March 1, 2023.

In total, OEKO-TEX® issued more than 36,000 certificates and labels in the past financial year – an increase of 14% compared to the previous year. The STeP by OEKO-TEX® facility certification recorded the strongest growth, almost doubling compared to 2020/2021. The number of labels and certificates issued increased from 31,696 to 36,084 between July 1st, 2021, and June 30th, 2022.

"Since OEKO-TEX® was founded in 1992, our business practices have been aligned with our core values," says OEKO-TEX® Secretary General Georg Dieners. “Sustainability, trust and safety build upon each other and are the basis of transparent and sustainable action. We underpin responsible action with our independent scientific methods and are valued in the industry as an effective, solution-oriented partner.” In the past financial year, this was reflected in the new Impact Calculator, with which STeP by OEKO-TEX®-certified companies calculate their CO2 emissions and measure their water consumption to ultimately reduce both. For OEKO-TEX®, a sustainable future is inextricably linked to a transparent status quo. "By setting the highest standards and communicating them openly, we encourage companies and consumers to do the same," says Dieners.

To maintain trust and credibility, OEKO-TEX® includes external perspectives. The International Advisory Board reviews proposals of the OEKO-TEX® Working Groups and provides important impetus for continuous optimization of the standards. Additionally, a Public Stakeholder Consultation was conducted in March 2022 to gain comprehensive insights from all interest groups. These are now being integrated into the further development of the standards and services. The investments of the past financial year reflect how important quality assurance and product control are for the OEKO-TEX® Association: Almost 40% of the total expenditure flowed into these two items.

In the meantime, the basic business continues to progress successfully. The number of STANDARD 100 by OEKO-TEX® certificates issued in the 2021/2022 financial year exceeded 25,000 for the first time. More than 15,000 chemicals, colorants and auxiliaries were certified with ECO PASSPORT by OEKO-TEX®.

In autumn 2022, OEKO-TEX® will launch a certification to help companies comply with upcoming due diligence laws. With RESPONSIBLE BUSINESS by OEKO-TEX®, OEKO-TEX® is responding to the increasing global expectations of compliance with due diligence requirements in companies. The new standard is based on the EU proposal for due diligence, the German Due Diligence Act, which will come into force from 2023, and numerous other international legislative proposals.

Clear growth ambitions
As a 100% family-owned international Group with a clear long-term vision, B.I.G. stayed true to their plans and kept on investing in all areas of their business.
“The ambition for 2021 was to invest over 100 mio euro. But we were held back by external, unforeseen factors: from delays on quotes and execution to the lack of availability and resources due to the pandemic. If all goes as planned, we’ll make up for it in 2022 with an investment budget well over 100 million euro. The main areas of interest will be sustainability, innovation and Industry 4.0.” says Pieter-Jan Sonck, CFO of B.I.G.

Adding to the gradual top-line growth of recent years, the Group can look back on an unprecedented financial boom. The driving forces: favorable market conditions, a revitalized growth strategy and a team of nearly 5.000 first-class employees.

B.I.G. reported a turnover of EUR 2,5 billion, an increase of 45 % compared to 2020. The Group ebitda amounted to EUR 451 million, an increase of 120 % compared to 2020 and a net result of EUR 274 million, a growth of 215% compared to 2020.

Fruitful year for all Business Units
It was a fruitful year for all 3 business units, but the Group's business unit Polymers stood out. Exceptionally strong demand in Europe and North America, combined with raw material shortages and unplanned shutdowns of competitors, pushed prices and margins up to highs. The Polymers facilities ran at full capacity to meet the customers’ needs and hit all-time profit records during several months.

Most divisions and regions outperformed amid surging energy prices, disrupted supply chains, cost volatility in transport and raw materials, and other challenges. Their sustained focus on innovation, design and product differentiation led to an improved operating result at the end of 2021.

The achievements by Engineered Solutions echo those of the other two business units, from volume increases to budget increases. B.I.G. took big leaps forward in all its key markets, including the automotive sector, geotextiles and filtration.

The 2021 Stahl ESG Report is a cornerstone of Stahl’s commitment to reporting transparently on its progress toward a more sustainable chemicals value chain. This acknowledges the important role that industry must play in tackling climate change while enabling a higher quality of life for more people. A key focal point of the new report is a progress update on Stahl’s ESG Roadmap. Introduced last year, this ten-year plan outlines the company’s ESG commitments and targets for 2023 and 2030.
 
Climate action
Stahl is focused on mitigating climate change by reducing greenhouse gas (GHG) emissions from all activities over which it has influence. This includes investing in renewable energy and process efficiencies to lower the GHG emissions caused directly by Stahl’s own operations and the energy used to power them. On this point, progress was made toward the 2023 and 2030 targets in 2021, including a reduction in Scope 1 and 2 CO2 emissions of 15%. Also covered are Stahl’s indirect value-chain impacts, for example, from the raw materials it buys. Looking beyond Stahl’s direct environmental impacts and fostering greater supply-chain transparency will be vital for tackling emissions on a wider scale.

GOTS releases 2021 annual report detailing record growth and increased interest

Global Organic Textile Standard (GOTS) announces the release of its 2021 Annual Report. Even with the continued constraints of COVID-19, 2021 was a year of significant developments for GOTS. An increased interest in sustainability in the textile industry led to greater awareness of GOTS certification from businesses as well as consumers.

An increased interest in sustainability in the textile industry led to greater awareness of GOTS certification from businesses as well as consumers.

The 31-page report details the record growth experienced in 2021, which included an increase of 19 percent in GOTS certified facilities around the world, with Certification Bodies (CBs) reporting 12.338 facilities in 79 countries (+11 percent). Three new GOTS-approved Certification Bodies brought the total to 18, nine of which have chemical input approval in their scopes. The additional CBs are helping meet an ever-increasing demand for certification. The rise in certifications also allowed GOTS to expand internally, adding Representatives as well as colleagues with expertise in Standard Development and Implementation, Quality Assurance, Communication, and IT. GOTS representatives worldwide offered training and education to thousands of participants, including businesses, governmental representatives, certification bodies, and other stakeholders. Visits to the GOTS website jumped 43 percent from 2020 and GOTS’s following on social media expanded significantly, gaining 57 percent across platforms.

“Despite ongoing difficulties and uncertainty caused by the Covid-19 pandemic, decision-makers continue to pursue their sustainability goals and value GOTS as a tool to accomplish them. The shareholders of Autoneum Holding Ltd approved all proposals of the Board of Directors at today’s Annual General Meeting and agreed to the proposed dividend of CHF 1.50 per share. Norbert Indlekofer becomes a new member of the Compensation Committee following the previously announced departure of This E. Schneider.

In accordance with Ordinance 3 on Measures to Combat the Coronavirus (COVID-19), the Board of Directors of Autoneum Holding Ltd decided to hold the 2022 Annual General Meeting without the physical presence of the shareholders. For this reason, the Company asked them in advance to exercise their rights exclusively through the independent voting proxy. He represented 66.9% of a total of 4 672 363 shares.

The shareholders approved the Annual Report, the Annual Financial Statements and the Consolidated Financial Statements for 2021 as well as the proposed appropriation of available earnings. A dividend of CHF 1.50 per registered share will be paid out as of March 29, 2022. This corresponds to a distribution of around CHF 7 million, or around 30% of the consolidated profit attributable to Autoneum shareholders.

Hans-Peter Schwald, Chairman of the Board of Directors, emphasized in his video message that the return to profitability and the distribution of a dividend are to be viewed as a positive sign and a success, especially given the challenging environment. CEO Matthias Holzammer, for his part, indicated how important the corporate strategy is for the ongoing and future success of the Company and how it was implemented last year. In addition, he highlighted that through its own strengths Autoneum had managed to improve its operating result in all four regions and to position itself well for the future.

Chairman Hans-Peter Schwald and the other members of the Board of Directors Rainer Schmückle, Liane Hirner, Norbert Indlekofer, Michael Pieper, Oliver Streuli and Ferdinand Stutz were confirmed in office for another year. All four Business Groups contributed to the significant improvement of the Group’s EBIT, which more than doubled by CHF 29.7 million to CHF 57.5 million, corresponding to an EBIT margin of 3.4%. This was achieved despite a slight decline in consolidated revenue to CHF 1.7 billion. Net profit amounted to CHF 30.1 million. In line with Autoneum’s longstanding dividend policy, the Board of Directors proposes a dividend of CHF 1.50 per share for the 2021 financial year.

We saw a number of global challenges again in 2021. The worldwide shortage of semiconductors dampened market development in the automobile industry. Although production volumes were almost the same in 2021, the year was more challenging from an operational perspective than 2020 was; supply chain bottlenecks led to short-term and unplanned production downtime at automotive manufacturers throughout the year. This resulted in frequent interruptions in production at Autoneum as well because of closely connected manufacturing processes. Rising costs for raw materials, energy, and transport presented additional challenges. Despite the challenging environment and weak global production volumes, Autoneum managed to return to profitability in 2021, generating a positive net result. Thanks to further operational improvements and optimization measures in all organizational areas, earnings were improved in all four Business Groups.

Outlook
According to market forecasts1), global automotive production will increase by around 9% year-onyear in 2022. The semiconductor shortage is likely to continue for some time into 2023; however, we anticipate that the situation will increasingly stabilize over the course of the financial year 2022 with higher volatility in the first half of the year. Autoneum’s revenue development is expected to be in line with the market. Based on market development, Autoneum is targeting an EBIT margin of 4–5% and free cash flow in the high double-digit million range. In addition to addressing the current semiconductor shortage situation, Autoneum will continue to pursue its consistent implementation of strategic priorities and initiatives. The potential impacts of the current Ukraine crisis on our business cannot be estimated at this point in time.

Royal Golden Eagle (RGE) has released its 2021 progress report on its commitment to invest USD200 million in next-generation textile fibre innovation and technology over a ten-year period which started in 2019.

The annual report provides an update on the activities undertaken by RGE and its business groups (Sateri, APR, APRIL, Bracell) involved in the fashion value chain to advance its ambition towards closed-loop, circular and climate-positive cellulosic fibre.

In 2021, Sateri achieved full compliance with the emission limits set out in the European Union Best Available Techniques Reference Document (EU-BAT BREF) for all of its five viscose mills in China, two years ahead of schedule. Bracell completed construction of the world’s largest and greenest new generation pulp mill in São Paulo which uses cutting-edge technology for fossil fuel-free generation.

Amid the COVID-19 pandemic continuing to restrict travel and collaboration, RGE persisted in building upon existing partnerships, while entering into new agreements. Sateri strengthened its strategic collaboration with Infinited Fiber Company, participating in the company’s EUR30 million funding round, which attracted new and existing investors such as H&M Group, Adidas, BESTSELLER and Zalando.

New partnerships formed by RGE included a five-year textile recycling research collaboration with Nanyang Technological University Singapore, and a three-year strategic partnership with the Textile and Fashion Federation Singapore which seeks, among others goals, to advance research and innovation in circular economy approaches to fashion waste in Asia.

RGE’s in-house R&D team has made good progress in advancing its textile-to-textile project, focusing on producing quality viscose using recycled cotton textiles as feedstock. To support plans to build a textile recycling facility in Indonesia, and as part of commercial feasibility analysis, studies examining the availability of textile waste and textile recycling landscapes in China, Indonesia, Sri Lanka and Bangladesh were completed.

Sateri remains on track in developing a product with 50 per cent recycled content by 2023, and to reach 100 per cent by 2030. It also aims for 20 per cent of its feedstock to contain alternative or recycled materials by 2025. In this similar vein, APR will source 20 per cent of its feedstock from alternative or recycled materials by 2030.
