Rieter Annual General Meeting 2022

The Corona Virus also had an impact on the 131st Annual General Meeting of Rieter Holding Ltd., Winterthur, on Thursday, April 7, 2022.

Based on Article 27 of Regulation 3 on measures to combat the Corona Virus (COVID-19), the Board of Directors of Rieter Holding Ltd. decided that shareholders can exercise their voting rights exclusively by authorizing the independent proxy. Shareholders therefore could not attend the Annual General Meeting in person. The Annual General Meeting was held on the premises of Rieter Holding Ltd. at the company’s headquarters in Winterthur.

At the Annual General Meeting of Rieter Holding Ltd. on April 7, 2022, the independent proxy represented a total of 1 986 shareholders who hold 64.4% of the share capital.

The shareholders approved the proposal of the Board of Directors to distribute a dividend of CHF 4.00 per share. In addition, they approved the proposed maximum total amounts of the remuneration of the members of the Board of Directors and of the Group Executive Committee for fiscal year 2023.

The shareholders approved the proposal of the Board of Directors to distribute a dividend of CHF 4.00 per share. In addition, they approved the proposed maximum total amounts of the remuneration of the members of the Board of Directors and of the Group Executive Committee for fiscal year 2023.

The Chairman of the Board, Bernhard Jucker, and the members of the Board of Directors Hans-Peter Schwald, Peter Spuhler, Roger Baillod and Carl Illi were confirmed for an additional one-year term of office. Sarah Kreienbühl and Daniel Grieder were newly elected to the Board of Directors for a one-year term of office.

Furthermore, Hans-Peter Schwald and Bernhard Jucker, the members of the Remuneration Committee who were standing for election, were also each re-elected for a one-year term of office. Sarah Kreienbühl was newly elected to the Remuneration Committee and is taking over the chair.

Shareholders also adopted all other motions proposed by the Board of Directors, namely the approval of the annual report, the financial statements and the consolidated financial statements for 2021, and formal approval of the actions of the members of the Board of Directors and those of the Group Executive Committee in the year under review. In addition, the authorized capital was extended for a further two years.

DOMOTEX cancelled in January 2022

DOMOTEX will not take place in January 2022. This was announced by Deutsche Messe AG as organizer of the leading trade show for carpets and floor coverings.

"We have been fighting for DOMOTEX together with the exhibiting companies until the very end, and have been in daily communication with the industry for months," says Sonia Wedell-Castellano, Global Director DOMOTEX, Deutsche Messe AG.

"DOMOTEX is particularly affected by the impact of the Corona pandemic, as the vast majority of DOMOTEX exhibitors and attendees come from abroad. However, given the current pandemic situation, international business travel is not expected to recover in the short term," adds Wedell-Castellano.

Just over a month ago, the organizers wanted to stage DOMOTEX in the southern part of the Hannover exhibition grounds in a compact format as a Re-Start event in three halls, thus giving the industry a chance to meet physically after almost two years of pandemic.

Wedell-Castellano: "What was considered a realistic and promising Re-Start scenario a month ago, and was also well received by the market, has proven to be no longer feasible in recent days."

Outlook Updated
As already communicated at the Results Press Conference on March 9, 2021, Rieter expects the market recovery to continue in 2021. The company expects an order intake exceeding CHF 500 million in the first half of 2021. For the first half of 2021, Rieter still anticipates that sales will be below break-even point. For the full year 2021, Rieter expects an operating profit.

The ITM and Hightex Exhibitions are postponed

ITM and HIGHTEX Exhibitions Postponed to 22-26 June 2021

ITM International Textile Machinery Exhibition and HIGHTEX International Technical Textiles and Nonwoven Exhibition, held every two years in partnership with Tüyap Tüm Fuarcılık Inc. and Teknik Fuarcılık Inc., and in cooperation with TEMSAD, were planned to be held between June 2-6 this year. However, as effects of Corona virus (Covid-19) continue to increasingly impact all the world, ITM and HIGHTEX exhibitions had been postponed to 14-18 July 2020, but it has been announced that the events have been rescheduled to 22-26 June 2021.

Exhibitions Preparation Continue
Preparations for ITM and HIGHTEX 2021 Exhibitions continue at full steam to bring together hundreds of manufacturers and global investors who develop leading technologies in their fields. The latest technologies and new products to be displayed at ITM and HIGHTEX Exhibitions, which will open their doors in Istanbul Tuyap Fair Convention and Congress Center next year, will meet with textile investors from all over the world.
 
ITM 2018, where textile machinery leaders exhibited their latest technological products, turned into a trade show with global launches and hosted one of the largest meetings in the world, with 1150 exhibitors from 64 countries and 58.942 visitors (14.248 of them foreigners) from 94 countries.

The Perlon® Group: support to fire service

The Perlon®-Group is supporting the procurement measures of the volunteer fire service in the Darmstadt-Dieburg district by donating 2400 KN 95 protective masks. This protective equipment will be put to good use by the force covering 23 towns and communities in the area.

The masks offer protection for fire brigade personnel and ensure that the firemen and women can carry out their duties safely and that they also protect the inhabitants in the district and everybody else in the area who may be involved in a rescue, from a potential contamination of the Corona virus.

Kelheim Fibres stops travels to and from China

Because of the unpredictable risks arising from the Corona virus, the viscose speciality fibre manufacturer Kelheim Fibres has decided to stop all business trips to and from China for the time being.

“We recognise our responsibility towards our customers and our employees. Their health and safety come first”, explains Matthew North, Commercial Director of Kelheim Fibres.

Among other things, Kelheim Fibres manufactures hygiene fibres that are used, for example, in tampons and other personal care products. These highly sensitive products have been also taken into account in making this decision.

The Bavarians operate their own representative office in Shanghai and are supplier for many Chinese companies.

“We wish China and its population that the measures taken will lead to a rapid containment of the virus”, adds Matthew North.
