Brodelec uses Direct-To-Fabric Printing with Kornit Digital Printing Technology

Brodelec chose to broaden its scope of activity by investing in the Kornit Presto S.

He continues: "The Kornit Presto S has allowed us to bring our latest project to life: the creation of a website entirely dedicated to ordering custom masks. Thanks to an online editor and our 200 models, our customers can order their masks in quantities ranging from 1 to several thousand pieces if necessary. As the Kornit Presto is free of certain technical and chemical constraints and has adapted perfectly to Brodelec's workflow system; we are currently printing more than 10,000 masks per week and can respond to requests within extremely short deadlines while guaranteeing quality and sharpness of detail. The masks meet the recommendations of the AFNOR and are designed with a fabric that filters out particles in the air by over 90%! Therefore, the designed and printed fabric masks are designated as category 1 and meet the UNS1 standards. They are distributed after testing for 60 washes."

Resolutions adopted by the virtual Annual General Meeting of Lenzing AG

At the 77th Annual General Meeting of Lenzing AG, which was once again held virtually on April 14, 2021 via livestream due to the COVID-19 pandemic, the members of the Managing Board and Supervisory Board were formally discharged from liability for the business year 2020. KPMG Austria GmbH Wirtschaftsprüfungs- u. Steuerberatungsgesellschaft was appointed to serve as the auditor of the annual financial statements and consolidated annual financial statements for the business year 2021.

Furthermore, the Annual General Meeting adopted the resolution on the compensation to be paid to Supervisory Board members as well as the principles underlying the remuneration of the members of the Managing Board. In addition to financial performance criteria, the remuneration policy of Lenzing AG regulating the multi-year, performance-oriented remuneration paid to the Managing Board members will also be linked in the future to non-financial sustainability criteria (ESG) designed to further promote the sustainable business strategy of Lenzing AG.

Fully on track strategically
The Managing Board of Lenzing AG presented the business development of the year 2020, a strategic outlook and sustainability strategy including the relevant roadmap to achieve climate targets to the participating shareholders. In 2019, Lenzing made a strategic commitment to reducing its greenhouse gas emissions per ton of product by 50 percent by the year 2030. The goal is to operate in a climate-neutral manner by 2050.

The substantial investments made in Thailand and Brazil not only support Lenzing in its transformation to a supplier of environmentally compatible specialty fibers but also comprise an important milestone on this journey which sustainably increases the company’s enterprise value.

The implementation of these two key projects is proceeding ahead as planned in spite of the direct impacts of the coronavirus crisis. The pulp plant in Brazil is scheduled to be put into operation in the first half of 2022 and will significantly increase Lenzing’s own in-house supply of dissolving pulp. Production in Thailand is expected to commence towards the end of 2021, further raising the share of eco-friendly specialty fibers in the Lenzing product portfolio.

New appointments to the Supervisory Board
Dr. Veit Sorger retired from the Supervisory Board of Lenzing AG on his request effective at the end of the Annual General Meeting. Veit Sorger had been a Member of the Supervisory Board since 2004 (also serving as Deputy Chairman since 2011) and served on various Supervisory Board committees.

The Annual General Meeting elected Dr. Markus Fürst, Managing Director of B&C Industrieholding GmbH, and Thomas Cord Prinzhorn, MBA, CEO of Prinzhorn Holding GmbH, to serve on the Supervisory Board until the end of the Annual General Meeting resolving upon the discharge of the Supervisory Board members for the business year 2024.

PCMC adds virus-killing wet wipes machines to nonwovens lineup

Paper Converting Machine Company (PCMC) has announced its industry-leading wet wipes folding machines the Rx200 and Mako Clipper are now available with high-content alcohol, measuring as much as 70 percent.

Previously, PCMC wet wipes machines operated with less than 20 percent alcohol, producing disinfectant wipes for personal, home, industrial and automotive use. However, the COVID-19 pandemic has created a spike in demand for sanitizing wipes that contain at least 70 percent alcohol, the key component in killing or deactivating viruses.

To help manufacturers meet the increased demand, PCMC redesigned its Rx200 and Mako Clipper to safely operate with high-content alcohol. The new designs feature increased air exchange for better ventilation and additional sensors to eliminate the risk of flash points and fires. The machines also include IDS 150/300 integrated dual stackers and a redesigned Mako saw to meet more stringent regulations and higher machine performance expectations.

NCTO: Importance of the U.S. Textile Industry to Lifesaving PPE & the Economy

National Council of Textiles Organization (NCTO) member Parkdale Mills hosted Senator Tim Kaine (D-VA) at the company’s Magnolia Manufacturing plant in Hillsville, Va. today to showcase the critical role the company and the industry has played in producing lifesaving personal protective equipment (PPE) to aid frontline health-care workers and the country during the pandemic.

Parkdale’s facility in Hillsville, Va. is a key yarn spinning hub contributing to a major face mask initiative bringing together several U.S. companies and more than 5,000 workers as part of the Biden administration’s pledge to provide 25 million reusable face masks to communities hit hard by the pandemic.

Die Veranstaltung fand aufgrund der anhaltenden COVID 19-Pandemie in einem abwechslungsreichen digitalen Format statt.

Textilien mit intelligenten Funktionen sind die Zukunft. Wichtiges Beispiel ist die Automobilindustrie. Die Referenten präsentierten Textilien als Schnittstelle zwischen Mensch und High-Tech und als formschönes Interieur kombiniert mit vielen Funktionen. Ergänzt wird die hohe Funktionalität der Fahrzeuge mit interaktiver Kleidung für die Fahrer. Sie wärmt und kühlt je nach Bedarf, leuchtet automatisch beim Verlassen des Fahrzeugs, navigiert und lädt sich wieder auf, sobald sie an den Kleiderhaken gehängt wird. Taschentücher, Stofftaschen oder Handschuhe aus speziellen Silbertextilien töten Viren und Bakterien. Eine Innovation, die in der Corona-Pandemie besonders gefragt ist.

Neue Textilelektroden überleben inzwischen sogar viele
Waschgänge und machen smarte Textilien alltagstauglich. Das ist besonders wichtig bei Sportbekleidung, mit der auch Hobbysportler gerne ihr Training tracken, auswerten und optimieren. Neu entwickelte Stoffe haften großflächig am Körper und stellen auf diese Weise sicher, dass Vitalparameter zuverlässig erfasst werden.

Waschbar und leitfähig sind auch Druckknöpfe, die im wahrsten Sinne des Wortes Kontaktierung per Knopfdruck herstellen. In den robusten Knöpfen steckt Elektronik wie Sensoren, Aktoren, LEDs und Schalter.

Das Anwenderforum zeigte auch in diesem Jahr, dass viele Visionen inzwischen realisierbar und marktfähig sind. Herausforderungen sind in Zukunft, nachhaltige Materialien und Prozesse einzusetzen sowie die E-Textiles zu recyceln. Darüber hinaus stellt die Datenflut, die durch die smarten Textilien erzeugt werden kann, hohe Ansprüche an die Sicherheit und die Verarbeitung der Daten.

Das Anwenderforum SMART TEXTILES wird jährlich von den Deutschen Instituten für Textil- und Faserforschung Denkendorf (DITF), dem Forschungskuratorium Textil e. V. in Berlin und dem Textilforschungsinstitut Thüringen Vogtland e. V. (TITV) in Greiz veranstaltet, um den Austausch von Industrie und Wissenschaft in der in der D-A-CH-Region zu fördern.

Das 10. Anwenderforum SMART TEXTILES findet vom 2.-3. März 2022 statt und ist wieder als Präsenzveranstaltung kombiniert mit einer Firmenbesichtigung geplant. Der Veranstaltungsort wird rechtzeitig bekanntgegeben.

Autoneum Holding AG Annual General Meeting

The shareholders of Autoneum Holding Ltd approved all proposals of the Board of Directors at today’s Annual General Meeting and agreed to forgo dividend payments. Liane Hirner and Oliver Streuli were newly elected to the Board of Directors. Based on Art. 27 of the Covid-19 Ordinance 3, the Board of Directors of Autoneum Holding Ltd decided to hold the 2021 Annual General Meeting without physical attendance by the shareholders. For this reason, the Company had asked them in advance to exercise their rights exclusively via the Independent Proxy. He represented 63.5% of a total of 4 672 363 shares.

The shareholders approved the Annual Report, the Annual Financial Statements and the Consolidated Financial Statements 2020. In view of the net loss in the 2020 financial year, the Board of Directors proposed forgoing dividend payments, which was approved by a large majority of the shareholders. Hans-Peter Schwald, Chairman of the Board of Directors, said: “2020 was extremely challenging for the entire automobile industry and also for Autoneum. The pandemic-related drop in revenue has impacted profitability. Despite the net loss, Autoneum reached important financial improvements in 2020. We expect to return to profitability in 2021 and our aim to distribute at least 30% of the net profit attributable to Autoneum shareholders as dividends remains unchanged. The Board of Directors, the Group Executive Board and the Company as a whole are committed fully to ensuring that Autoneum continues to make significant operational and financial improvements.”

Chairman Hans-Peter Schwald and the other members of the Board of Directors, Rainer Schmückle, Norbert Indlekofer, Michael Pieper, This E. Schneider and Ferdinand Stutz were confirmed in office. Newly elected to the Board of Directors were Liane Hirner and Oliver Streuli.

With Liane Hirner and Oliver Streuli and the resignation of Peter Spuhler, who did not stand for reelection in order to be able to focus on managing Stadler Rail, the Board of Directors of Autoneum Holding Ltd has expanded from seven to eight members. Hans-Peter Schwald explained: “The expertise of Liane Hirner and Oliver Streuli in the areas of finance and corporate management is of great value to Autoneum. As the Board of Directors, we look forward to this enhancement to the Board and to working with both of them.”

Peter Spuhler has been an important driving force since the Company became independent, he played a major role in shaping Autoneum thanks to his entrepreneurial expertise and showed great commitment to the Company. The Board of Directors thanks him sincerely and wishes him continued success.

This E. Schneider, Hans-Peter Schwald and Ferdinand Stutz were re-elected to the Compensation Committee. Oliver Streuli was elected as a new member of this committee. In addition, the shareholders of Autoneum Holding Ltd granted discharge to all members of the Board of Directors and the Group Executive Board with a large majority.

The consultative vote on the 2020 remuneration report was approved by 83.4%. Due to the severe impact of the coronavirus pandemic on the Group’s business development, the members of the Board of Directors renounced half of their compensation for the 2020 financial year and, in order to  align their remuneration with shareholder interests, decided to receive it entirely in Autoneum shares. In addition, a waiver of salary amounting to 10% of the basic salary for a period of three months was agreed upon with the senior management as part of a reduction of personnel costs.

The proposals for the remuneration of the Board of Directors and the Group Executive Board for the 2022 financial year as well as the other proposals were also approved by a large majority.

The dedicated fair for interior design is once again set to attract not only retail buyers but also visitors from design and architecture offices, commercial facilities, and other contract businesses. The 2019 edition welcomed 352 exhibitors from 14 countries and regions as well as 16,016 visitors from 34 countries and regions, receiving much positive feedback for its increased focus on contract business.

Furniture production from recycled forest materials will also be a focus of the zone, which will be promoted in the run up to the fair through sector-specific media channels. This will include dedicated promotional activities targeting ethically driven retailers and restaurants.

In response to requests from exhibitors who showcase smaller items, a new booth size has been added for 2021. Measuring 6.3 sqm (width 3m x depth 2.1m), the new booth option is one size smaller than the existing 9 sqm booth, adding more choice for exhibitors

The National Council of Textile Organizations (NCTO), representing the full spectrum of U.S. textiles from fiber through finished sewn products, held its officer elections for fiscal year 2021 today.

NCTO has re-elected David Roberts, CEO of Cap Yarns, as Chairman and David Poston, President of Palmetto Synthetics, as Vice Chairman.

In addition to the appointment of a new chairman and vice chairman, NCTO elected chairs for each of its four councils. NCTO is comprised of four councils to ensure a broad representation of the industry supply chain. Each council has an allotted number of members who are elected to the association’s Board of Directors, in addition to the Executive Committee.*

Paired with a precision spray application system, the FlexoCleanerBrush evenly distributes a mixture of detergent and water across the plate as it spins, gently cleaning its surface. Improving sustainability is one of the key drivers for investments in the corrugated printing industry. The FlexoCleanerBrush dramatically cuts water waste by cleaning plates more efficiently. In a recent independent study that was conducted to validate the capacity of the automated system, the FlexoCleanerBrush could fully clean and dry all printing plates in less than four minutes and pick hickeys in seconds.

Besides offering efficient cleaning during runs and fast end-of-job cleaning, the FlexoCleanerBrush system also enables operators to remove dry plates from the machine without the potential risk of plates sticking together once they are placed back in the plateracking system. Like them, all I want to see is a fair, ethical and sustainable industry where brands and retailers work in an environment of collaboration, not conflict.”

Mostafiz also had some special praise for H&M. He said: “It would have not been possible for me to support my workers during the pandemic, had my factory not received help from H&M during the unprecedented time. While Denim Expert suffered from huge orders cancellation and orders hold, H&M supported us by placing orders in the pandemic that saved thousands of lives and livelihoods. Therefore, I would like to dedicate this Award to H&M and its CEO Helena Helmersson.”

Der getestete Modell-Coronavirus-Stamm blieb mindestens 72 Stunden lang auf Polyestergewebe und 24 Stunden auf 100% Baumwolle infektiös. Auch wenn die Viren sich durch gängige Waschmittel und entsprechende Temperaturen inaktivieren ließen, warnt der Deutsche Textileinigungs-Verband (DTV) davor, potenziell infektiöse Textilien im häuslichen Umfeld zu waschen. Denn kritische Punkte wie Wäschesortierung, Maschinenbeladung und Kontaminationsmöglichkeiten lassen sich im professionellen Textilservice in einer kontrollierten Umgebung handhaben.

Der anhaltende Ausbruch von SARS-CoV-2 hat die Textilhygiene in vielen Bereichen – vom Gesundheits- und Pflegewesen, über die Gastronomie und Hotellerie bis hin zum Privatkundenbereich – in den Fokus rücken lassen. Die De Montfort University aus Leicester, England hat vor diesem Hintergrund die Überlebensfähigkeit des humanen Coronavirus OC43 (HCoV-OC43), das eine ähnliche Gesamtstruktur wie SARS-CoV-2 aufweist, auf Textilien untersucht und auch Waschverfahren für eine zuverlässige Inaktivierung des Virus geprüft.

Die Leiterin der DMU-Studie, Dr. Katie Laird, fasste die Ergebnisse der Studie zusammen: „Der getestete Coronavirus-Stamm (HCoV-OC43) blieb mindestens 72 Stunden lang auf Polyestergewebe und 24 Stunden auf 100% Baumwolle infektiös.“ Laird ergänzt zudem, dass sich das Virus bis zu 72 Stunden lang von Polyestergewebe auf andere Oberflächen übertragen lässt, was darauf hindeutet, dass Textilien ein gewisses Übertragungsrisiko darstellen können.

Gängige Waschverfahren sind effektiv – Ein Risiko besteht jedoch bei begleitenden Prozessen

Das Forscherteam fand heraus, dass nahezu alle Haushaltswaschvorgänge, möglicherweise mit Ausnahme der Niedrigtemperatur-Haushaltswäsche, das durch Coronavirus verursachte Infektionsrisiko effektiv beseitigen. Wichtig ist jedoch die richtige Kombination von Bewegung, Temperatur und Waschmittel. In diesen Fällen wurde bei Waschverfahren von 40 °C und darüber keine Spur des Virus mehr gefunden.

Andreas Schumacher, Geschäftsführer des Deutschen Textilreinigungs-Verbandes (DTV), mahnt jedoch: „Kleidung, die möglicherweise noch für drei Tage kontaminiert ist, sollte im besten Falle das häusliche Umfeld gar nicht erst erreichen. Mit Coronaviren belastete Textilien sollten in einer kontrollierten Umgebung wie dem Textilservice behandelt werden. Dort wird verschmutzte Wäsche sicher gehandhabt.“ Denn im häuslichen Umfeld wird die verschmutzte Wäsche zwangsweise mehrfach vor dem eigentlichen Waschprozess in die Hand genommen, für schmutzige und saubere Wäsche oft der gleiche Wäschekorb verwendet oder die Waschmaschine selbst steht möglicherweise in der Küche neben dem Herd oder der Spülmaschine, woraus sich noch gänzlich andere Möglichkeiten zur Kreuzkontamination ergeben, so Schumacher.

„Insbesondere Textilien aus dem Gesundheits- und Pflegewesen sowie Berufskleidung im Allgemeinen sollte nicht zuhause gewaschen werden, um eine Übertragung von Krankheitserregern auf Familie und Patienten zu vermeiden“, erläutert Schumacher. „Ergänzend zu den Ergebnissen der britischen Studie sollte darauf hingewiesen werden, dass handelsübliche Haushalts-Waschmaschinen im Gegensatz zu Profimaschinen an neuralgischen Punkten, wie Pumpe, Schublade oder zwischen Gummi und Waschmaschinenfenster die Temperaturen für eine sichere Virusinaktivierung häufig nicht erreichen. Dies kann bei Be- und Entladen der heimischen Waschmaschine zu einer Rekontamination führen“, so Schumacher weiter.

Für den Hotellerie und Gastronomiebereich sieht der DTV keinen Grund, Tischdecken und Servietten aus Stoff durch Papierlösungen zu ersetzen. Tatsächlich bietet hygienisch aufbereitete Tischwäsche bei regelmäßigem Wechsel einen deutlichen Hygienevorteil. Darüber hinaus sprechen auch Gründe des Umweltschutzes und der Ressourcenschonung für die Textillösung.

Hintergrund: Die Forschung wird derzeit einem Peer-Review unterzogen und wird voraussichtlich in den nächsten Monaten in einem Open-Access-Journal veröffentlicht, damit jeder vollständig auf die Forschung zugreifen kann. Auftraggeber der Studie waren Textilpflegeverbände aus England, den Vereinigten Staaten, Schweiz, Belgien, Finnland, Norwegen und Deutschland.

New manufacturers of regenerated cellulosic fibers as alternatives to cotton and synthetics, for example, have been gaining a lot of attention recently, as they scale up to meet demands for a circular approach to the manufacturing of textiles and garments.

These companies have, in turn, been embraced by major Scandinavian brands such as the Danish clothing company Bestseller, Finnish fashion house Marimekko, Norwegian outdoor brand Bergans and Sweden’s own H&M Group.

“Digitalization will lead to a significant reduction in garments that for one reason or another are never sold and end up in landfill,” says Therese Premler-Andersson, Secretary General of TMAS. “There will of course, be a huge ecological benefit.”

At the very center of any fiber’s journey, once it has become part of a knitted or woven fabric, are the dyeing and finishing stages of textile production. Dyeing and finishing currently involves many washing and drying process steps which add a huge burden to the overall carbon footprint of finished garments and textile products.

Coloreel expansion
Here is where the latest fully digital technologies of TMAS member companies are making a dramatic difference, such as the instant thread coloration technology, of Coloreel, which has just raised SEK 100 in new financing to support its market expansion and growth.

Initially targeting the embroidery market, Coloreel technology enables the high-quality and instant coloring of a textile thread while it is actually being used in production and can be paired with any existing embroidery machine without modification, while also making it possible to produce gradients in an embroidery for the first time.

Based on a CMYK ink system, Coloreel’s advanced rapid color formulation software and high-speed drive technology allow a single needle to carry out what previously required many multiples of them to do – and with much more consistent stitch quality,

In addition, existing thread dyeing plants can add a single solid color to a thread, but by instantly coloring a white base thread during production, Coloreel enables complete freedom to create unique embroideries without any limitations in the use of colors. Color changes along the thread can either be made rapidly from one solid color to another, or gradually, to make smooth transitions or any coloring effect desired.

This provides big benefits when it comes to sustainability. There is a significant reduction in wasted inks, while water usage is minimized, and production speeds are increased. The technology allows set-up and lead times to be reduced as well as significant flexibility in production schedules, while eliminating the need for large thread inventories.

“Our system is allowing customers to achieve color effects that have never been seen before – and at a new level of efficiency,” says VP of Sales and Marketing at Coloreel, Mats Sjögren. “We are setting the new benchmark for the embroidery industry.”

Despite the Covid-19 pandemic, Coloreel, has recently successfully delivered units to companies in Europe, the United States and Asia, and has also partnered with the world’s largest distributor of embroidery machines, American Hirsch Solutions, which has already installed the technology at a number of customers in the USA.

Another TMAS member achieving rapid progress is imogo, which is currently installing its first industrial scale Dye-Max spray dyeing line at the plant close to Borås of Swedish commission dyeing company 7H Färgeri – the Nordic region’s most complete dyeing and processing plant.

The new line has a working width of 1.8 meters with an operating speed of up to 50 meters for the reactive dyeing of cellulosic fiber-based fabrics. In addition, it can carry out the application of a wide range of fabric pre-treatments and finishing processes, providing the company with unbeatable flexibility in production.

A proven Mini-Max laboratory unit for pre-determining application volumes and color matching has also been installed at the 7H plant.

With the potential to slash the use of fresh water, wastewater, energy, and chemicals by as much as 90% compared to conventional jet dyeing systems, the DyeMax has gained considerable attention since the concept was outlined and a prototype machine constructed in 2019.

The application unit of the Dye-Max consists of a closed chamber containing a series of spray cassettes with precision nozzles for accurate and consistent coverage, in combination with the patented imogo Pro Speed valve that controls the volume to be applied.

“We are achieving an extremely low liquor ratio of around 0.5-1 liters per kilo of fabric and we fully control the pickup, applying precisely what is required to the specific fabric,” says imogo founding partner Per Stenflo. “Compared to traditional padders there is no contamination of the dyebath or dilution of the dye liquor to worry about.”
Fast changeovers with virtually no waste, together with a high production speed, enable a high productivity and unmatched production flexibility.

“The Dye-Max will be implemented in 7H daily production and producers and brands are welcome to visit when the Covid-19 situation allows. They are also welcome to do test productions at 7H to verify the performance on their fabrics.”

Perfect bridge

As a consequence of the COVID-19 pandemic, Rieter closed the 2020 financial year with sales of CHF 573.0 million, which corresponds to a decrease of 25% compared to the previous year (2019: CHF 760.0 million). Due to the low sales volume, a loss of CHF 84.4 million was recorded at the EBIT level while at the net profit level the loss was CHF 89.8 million. In view of the loss in the 2020 financial year, the Board of Directors proposes that shareholders waive the payment of a dividend for 2020.

Order intake of CHF 640.2 million in the 2020 financial year was 31% down on the previous year (2019: CHF 926.1 million). Following the significant slump in demand in the second quarter of 2020 (CHF 45.7 million), order intake recovered in the third quarter (CHF 174.4 million) and improved further in the fourth quarter (CHF 215.1 million).

At the end of 2020, the company had an order backlog of about CHF 560 million (December 31, 2019: about CHF 500 million).

Business Groups
Sales of the Business Group Machines & Systems amounted to CHF 295.8 million in 2020, which corresponds to a decrease of 24% compared to the previous year. Due to the low volume and taking into account the expenditure on the ongoing innovation program, the business group recorded a loss of CHF 72.4 million at the EBIT level. Order intake in the reporting year was CHF 363.9 million (-35% compared to the previous year).

The Business Group Components with sales of CHF 174.3 million (-24% compared to the previous year) achieved a profit of CHF 1.4 million at the EBIT level before restructuring charges. EBIT after restructuring charges was CHF -5.5 million. The order intake with CHF 169.1 million (-24% compared to the previous year) was just below sales.

The Business Group After Sales achieved sales of CHF 102.9 million (-27% compared to the previous year) and a positive EBIT of CHF 1.8 million. Order intake was CHF 107.2 million (-24% compared to the previous year). Over 60% of spinning mills were shut down in the second quarter of 2020, with a corresponding impact on the demand for spare parts.

Dividend
Due to the loss of CHF 89.8 million at the net profit level in the 2020 financial year, the Board of Directors proposes that shareholders waive the distribution of a dividend.

Outlook
Rieter expects the market recovery that began in the second half of 2020 to continue in 2021. The company expects an order intake in the first half of 2021 exceeding that of the previous half year (second half of 2020: CHF 389.5 million). Thanks to the improved capacity utilization, Rieter is planning short-time working in only a few areas in the first half of 2021. Nonetheless, as already announced, Rieter still anticipates that sales in the first half of 2021 will be below the break-even point. In connection with the high order backlog at the beginning of 2021, Rieter expects an operating profit for the full year 2021.

ITM International Textile Machinery Exhibition, which is planned to be held on June 22-26, 2021 postponed to June 14-18, 2022, considering the effects of the ongoing Covid-19 pandemic in the world. This postponement decision was taken as a result of intense discussions and evaluations with participants and sector representatives.

BVMed: Verlängerung der Pflegehilfsmittel-Pauschale

Der Bundesverband Medizintechnologie, BVMed, sieht die vom Bundestag mit dem EpiLage-Fortgeltungsgesetz beschlossene Verlängerung der erhöhten monatlichen Pflegehilfsmittel-Pauschale als „ersten Schritt“. Die Erhöhung der Pauschale von 40 auf 60 Euro gilt damit zunächst bis Ende 2021 weiter. Der BVMed setzt sich weiterhin für eine dauerhafte Erhöhung der Pflegehilfsmittel-Pauschale ein, da von einer langfristigen Erhöhung der Kosten beispielsweise für Hygienemaßnahmen ausgegangen werden kann. „Im nächsten Schritt muss die Befristung aufgehoben werden. Wir müssen die gestiegenen Kosten langfristig finanzieren, um die Pflegebedürftigen und die Pflegenden besser zu schützen“, so BVMed-Geschäftsführer Dr. Marc-Pierre Möll.

Bei den Pflegehilfsmitteln handelt es sich beispielsweise um Desinfektionsmittel, Schutzhandschuhe, Schutzausrüstung und weitere Hygieneartikel, „die im Rahmen des Schutzes vor Infektionsgefahren gerade für die vulnerable Gruppe der Pflegebedürftigen und zum Schutz des Pflegepersonals und der pflegenden Angehörigen besonders benötigt werden“, so der BVMed.

Der Bundestag hatte im letzten Jahr aufgrund des erhöhten Bedarfs nach diesen Produkten bei stark steigenden Kosten die Erhöhung dieser Pauschale von 40 auf 60 Euro im Zuge der epidemischen Lage beschlossen. „Die Verlängerung dieser Regelung trägt angesichts der anhaltenden Corona-Pandemie auch den Belastungen der zu Pflegenden sowie der Pflegekräfte Rechnung“, so der deutsche Medizintechnik-Verband. Außerdem sind nach wie vor eine stark erhöhte Nachfrage sowie höhere Preise in diesen Produktsegmenten festzustellen. „Wir gehen auch langfristig aufgrund des weltweiten Bedarfes nicht von einer Reduktion aus. Die Politik darf die Pflegebedürftigen und die Pflegenden hier nicht im Stich lassen“, appelliert BVMed-Geschäftsführer Möll.

MoU: Lectra to acquire Gerber Technology

Lectra announces its plan to acquire the entire capital and voting rights of US-based Gerber Technology. The acquisition, if and when consummated, would allow Lectra to complement its market position and continue to enhance its offerings based on Industry 4.0 technology that will enable its customers to boost the productivity and profitability of their operations. After the French work council of Lectra is consulted and the binding documentation is signed, completion of the acquisition shall remain subject to merger control clearance and other customary conditions and shall be submitted to Lectra shareholders for approval.

Key transaction terms

Under the proposed acquisition, Lectra would acquire all outstanding shares of Gerber Technology on a cash-free debt-free basis for an upfront payment of 175 million euros – through a combination of cash and debt – plus 5 million newly issued Lectra shares to AIPCF VI LG Funding, LP (“AIPCF VI LG”), an affiliate of American Industrial Partners that is Gerber Technology’s sole shareholder. This would represent a total amount of about 300 million euros based on Lectra’s closing share price on February 5, 2021. No contingent consideration is contemplated.

Gerber Technology’s revenues was 165 million euros in 2020.

Thanks to the strong value creation deriving from significant synergies, Lectra expects the transaction to be accretive for shareholders from 2022.

Upon closing, Daniel Harari would own c. 14.6% of the Lectra shares and AIPCF VI LG would own c. 13.3%.

Lectra’s Board of Directors would welcome a director representing AIPCF VI LG.

Daniel Harari would continue to be the Chairman and Chief Executive Officer of Lectra. Gerber Technology Chief Executive Officer, Mohit Uberoi, would assume special advisor to Daniel Harari role until end-2021.

Lectra’s shareholders would be invited to vote on the issuance of the 5 million new Lectra shares reserved to AIPCF VI LG at a dedicated Extraordinary Shareholders’ Meeting which is currently expected to be held on April 30, 2021. A report containing additional information will be made available to the shareholders prior to the Extraordinary Shareholders’ Meeting.

Lazard is acting as exclusive financial advisor to Lectra, and Latham & Watkins as legal counsel to Lectra.

Goldman Sachs is acting as exclusive financial advisor to AIPCF VI LG, and Ropes & Gray LLP, Baker Botts LLP and Gide Loyrette Nouel A.A.R.P.I. as legal counsel to AIPCF VI LG.

2020 results, update on the 2020-2022 strategic roadmap and guidance for the coming years will be disclosed on February 10, 2021.
