Bernhard Jucker stellt sich an der nächsten ordentlichen Generalversammlung vom 17. April 2024 infolge Erreichung der Altersgrenze nicht mehr zur Wahl als Verwaltungsratspräsident. Der Verwaltungsrat dankt Bernhard Jucker für sein grosses und wertvolles Engagement. Während seiner Amtszeit hat er das Unternehmen durch strategische Akquisitionen und Optimierung der Standorte erfolgreich weiterentwickelt.

Bernhard Jucker stellt sich an der nächsten ordentlichen Generalversammlung vom 17. April 2024 infolge Erreichung der Altersgrenze nicht mehr zur Wahl als Verwaltungsratspräsident. Der Verwaltungsrat dankt Bernhard Jucker für sein grosses und wertvolles Engagement. Während seiner Amtszeit hat er das Unternehmen durch strategische Akquisitionen und Optimierung der Standorte erfolgreich weiterentwickelt.

Der Verwaltungsrat der Rieter Holding AG schlägt den Aktionärinnen und Aktionären Thomas Oetterli als neuen Verwaltungsratspräsidenten vor. Er wird seine Funktion als CEO des Rieter-Konzerns weiterhin wahrnehmen. Das Doppelmandat ist eine Übergangslösung, um die nachhaltige Umsetzung des Performance-Programms «Next Level» zu gewährleisten. Der Verwaltungsrat ist überzeugt, dass Thomas Oetterli über die Qualifikationen und den idealen Erfahrungshintergrund als künftiger Verwaltungsratspräsident der Rieter Holding AG verfügt.

Roger Baillod, Mitglied des Verwaltungsrats seit 2016 und Vizepräsident seit 2022, wird zum Lead Independent Director ernannt. Zusammen mit dem Verwaltungsrat wird Roger Baillod mit seiner langjährigen Erfahrung weiterhin eine gute Corporate Governance gewährleisten.

Jennifer Maag wird an der ordentlichen Generalversammlung vom 17. April 2024 zur Wahl als Verwaltungsrätin vorgeschlagen. Frau Maag, gebürtige US-Amerikanerin, besitzt die Schweizer und deutsche Staatsbürgerschaft und hat einen Bachelor-Abschluss in Volkswirtschaftslehre von der University of California, Berkeley (USA). Zurzeit ist Frau Maag Mitglied des Verwaltungsrats der Kardex Holding AG, Zürich, der Weidmann Holding AG, Rapperswil, der VT5 Acquisition Company AG, Pfäffikon (SZ) und der Nova Property Fund Management AG, Pfäffikon (SZ). 1999 gründete Jennifer Maag die Capital Concepts International AG, Zürich (Schweiz), eine Beratungsboutique für Merger & Acquisitions, und ist bis heute deren geschäftsführende Partnerin. Von 1996 bis 1999 war sie als Senior Managerin im Bereich Corporate Finance bei KPMG AG in Zürich tätig. Zuvor war sie in der Wirtschaftsprüfung bei Deloitte in München (Deutschland) und Zürich und schloss in dieser Zeit ihre Ausbildung zum Certified Public Accountant (CPA) ab.

Archroma completes acquisition of Huntsman Textile Effects

Archroma announced the closing of the acquisition of the Textile Effects business from Huntsman Corporation (“Huntsman Textile Effects”).

When the Huntsman Textile Effects acquisition was first announced in August 2022, Archroma Group Chief Executive Officer (CEO) Heike van de Kerkhof called the transaction a “merger of equals”. Indeed, the global business of Huntsman Textile Effects comprises approximately 2,300 employees in 33 countries and 10 production sites globally which, when combined with Archroma, means the company will have more than 5,000 employees in total, in 42 countries and 35 production sites.

In addition to the closing of the Textile Effects acquisition, Archroma announced that it has updated its overall business into two operating divisions for growth, each focused on a separate end market.

In addition to the closing of the Textile Effects acquisition, Archroma announced that it has updated its overall business into two operating divisions for growth, each focused on a separate end market.

The Textile Effects business acquired from Huntsman will be integrated with the Brand & Performance Textile Specialties business of Archroma into one new division named Archroma Textile Effects. The new division will be led by Rohit Aggarwal, former President of Huntsman Textile Effects, who is appointed as Divisional President & CEO of the Archroma Textile Effects division, as well as President Asia.

The Packaging & Paper Specialties and Coatings, Adhesives & Sealants businesses of Archroma have been recently combined into one new division named Archroma Paper, Packaging & Coatings, under the leadership of Sameer Singla, Divisional President & CEO of the Archroma Paper, Packaging & Coatings division, as well as President Americas and Europe, Middle East & Africa.

This new structure will ensure that both divisions obtain the resources and focus needed to continue providing Archroma’s customers and business partners with the superior experience and solutions they have come to expect.

In particular, Archroma is committed to supporting global megatrends and societal shifts such as circular fashion, plastic-to-paper replacement, and water-based paints and coatings, with the innovations and solutions needed to do so.

Archroma, a manufacturer of sustainable specialty chemicals and solutions for industries such as textiles, packaging & paper, paints and coatings, announced that it has secured all regulatory approvals required to complete the acquisition of the Textile Effects business from Huntsman Corporation (“Huntsman Textile Effects”).

Both parties expect the transaction, which was first announced on 09 August 2022, to close on 28 February 2023.

Archroma is a portfolio company of US-based private investment firm SK Capital Partners. Since its formation in 2013, Archroma acquired and successfully integrated the global textile chemicals businesses of BASF as well as BASF’s stilbene-based OBA business for paper applications, and M. Dohmen, a specialist in coloration for automotive textiles.

Zünd: Neue Niederlassung in Spanien

Seit Anfang 2023 ist die Sign-Tronic S.A. eine hundertprozentige Tochtergesellschaft der Zünd Systemtechnik AG und firmiert neu unter dem Namen Zund Ibérica. Sign-Tronic S.A. wurde 1990 gegründet und war seit 1994 offizieller Vertriebs- und Servicepartner der Zünd Systemtechnik AG. Zund Ibérica betreut zahlreiche Kunden in Spanien, Portugal und Andorra.

Als neuer CEO von Zund Ibérica fungiert Jordi Lorente. Er wird vorerst tatkräftig vom bisherigen Mitinhaber und Managing Director Flemming Jensen unterstützt. Rosa Miralles, ebenfalls Mitinhaberin, wird bei Zund Ibérica weiterhin in leitender Funktion tätig sein.

Zund Ibérica beschäftigt aktuell 15 Mitarbeitende. Mit mehr als 1000 installierten Cuttern ist Zund Ibérica auf dem iberischen Markt einer der erfahrensten Distributoren von digitalen Schneidsystemen sowie Software- und Workflowlösungen. Ein eigener Demoraum bietet Kunden und Interessenten die Gelegenheit, die vielfältigen Möglichkeiten digitaler Schneidtechnologie von Zünd vor Ort zu erleben. Die Mitarbeitenden sind ausgewiesene Experten in Beratung, Schulung, Installation und Service.

Riri Group acquires powder metallurgy expert K4Sint

In recent years, Riri Group has embarked on a process of vertical expansion aimed at broadening its product range and in-house processing, in order to provide the market with a superior quality product thanks to the variety of its services and technologies. With the acquisition of K4Sint (Knowledge for Sintering) this process has taken another step forward and the Group consolidates its position as ‘one-stop shop supplier’ under the sign of integration, design capacity, customised offer, and innovative technologies.

In recent years, Riri Group has embarked on a process of vertical expansion aimed at broadening its product range and in-house processing, in order to provide the market with a superior quality product thanks to the variety of its services and technologies. With the acquisition of K4Sint (Knowledge for Sintering) this process has taken another step forward and the Group consolidates its position as ‘one-stop shop supplier’ under the sign of integration, design capacity, customised offer, and innovative technologies.

K4Sint, founded by two Ph.D. materials engineers,  brings to the Swiss Group its experience in Press and Sintering, Metal Injection Molding, Spark Plasma Sintering (Titanium, Aluminum, MMC, Advanced Ceramic). Riri, therefore, integrates within its Group a company capable of developing and producing components, accessories and semi-finished products for internal use but also for customers and companies not only limited to the fashion business: K4Sint will become the go-to facility and production site for steel MIM processes of the entire group. The new unit will also be able to perform metallographic tests, innovative materials development projects and in-depth technological consultancy work for Riri’s customers.

Lenzing Group intends to acquire remaining 30 percent of its Chinese operation

The Lenzing Group intends to acquire the remaining 30 percent of its Chinese subsidiary Lenzing (Nanjing) Fibers Co. Ltd. (LNF) from its state-owned joint venture partner NCFC. After closing of the transaction, the Lenzing Group will hold 100 percent of LNF. The underlying structured selling process was initiated by the joint venture partner in a state controlled bidding process and today the Lenzing Group received the Share Purchase Agreement draft. The closing of the transaction documents is expected for the end of October. The acquisition will have a negative impact on net profit of the Lenzing Group of approx. EUR 21 mn for the fiscal year 2018.

The purchase of the shares supports Lenzing’s strategic growth as a producer of specialty fibers from the renewable raw material wood in China and worldwide. It paves the way to setting up further production lines for specialty fibers. Lenzing wants to convert LNF into a specialty fibers hub over time.
