Archroma completes acquisition of Huntsman Textile Effects

Archroma announced the closing of the acquisition of the Textile Effects business from Huntsman Corporation (“Huntsman Textile Effects”).

When the Huntsman Textile Effects acquisition was first announced in August 2022, Archroma Group Chief Executive Officer (CEO) Heike van de Kerkhof called the transaction a “merger of equals”. Indeed, the global business of Huntsman Textile Effects comprises approximately 2,300 employees in 33 countries and 10 production sites globally which, when combined with Archroma, means the company will have more than 5,000 employees in total, in 42 countries and 35 production sites.

In addition to the closing of the Textile Effects acquisition, Archroma announced that it has updated its overall business into two operating divisions for growth, each focused on a separate end market.

The Textile Effects business acquired from Huntsman will be integrated with the Brand & Performance Textile Specialties business of Archroma into one new division named Archroma Textile Effects. The new division will be led by Rohit Aggarwal, former President of Huntsman Textile Effects, who is appointed as Divisional President & CEO of the Archroma Textile Effects division, as well as President Asia.

The Packaging & Paper Specialties and Coatings, Adhesives & Sealants businesses of Archroma have been recently combined into one new division named Archroma Paper, Packaging & Coatings, under the leadership of Sameer Singla, Divisional President & CEO of the Archroma Paper, Packaging & Coatings division, as well as President Americas and Europe, Middle East & Africa.

This new structure will ensure that both divisions obtain the resources and focus needed to continue providing Archroma’s customers and business partners with the superior experience and solutions they have come to expect.

In particular, Archroma is committed to supporting global megatrends and societal shifts such as circular fashion, plastic-to-paper replacement, and water-based paints and coatings, with the innovations and solutions needed to do so.

Archroma closing acquisition of Huntsman Textile Effects on 28 February 2023

Archroma, a manufacturer of sustainable specialty chemicals and solutions for industries such as textiles, packaging & paper, paints and coatings, announced that it has secured all regulatory approvals required to complete the acquisition of the Textile Effects business from Huntsman Corporation (“Huntsman Textile Effects”).

Both parties expect the transaction, which was first announced on 09 August 2022, to close on 28 February 2023.

Archroma is a portfolio company of US-based private investment firm SK Capital Partners. Since its formation in 2013, Archroma acquired and successfully integrated the global textile chemicals businesses of BASF as well as BASF’s stilbene-based OBA business for paper applications, and M. Dohmen, a specialist in coloration for automotive textiles.

Huntsman announces Agreement to sell Textile Effects Division

Huntsman Corporation (NYSE: HUN) announced it has entered into a definitive agreement to sell its Textile Effects division to Archroma, a portfolio company of SK Capital Partners.  The total enterprise value of the transaction is approximately $718 million, which includes the assumption of approximately $125 million in net underfunded pension liabilities as of December 31, 2021. The acquisition is being partially funded with preferred equity, of which Huntsman is taking up to $80 million, an amount SK Capital Partners will seek to syndicate prior to the transaction closing.

Over the last twelve months ending June 30, 2022, the Textile Effects division reported sales of $772 million and adjusted EBITDA of $94 million. Huntsman anticipates cash taxes on the transaction of approximately $50 million. Huntsman intends to report Textile Effects as discontinued operations beginning in the third quarter of 2022. The transaction is subject to regulatory approvals and other customary closing conditions and is expected to close in the first half of 2023.

The industry’s first renewably sourced water-repellent finish, it contains 63% plant-based materials and exceeds performance levels possible with traditional fluorinated technologies, preserving breathability while offering excellent water repellency and durability.

Another breakthrough for brands and mills is PHOBOTEX® RSY for outerwear. A next-generation non-fluorinated water-repellent finish, its performance is comparable to formulations based on per-fluorinated chemicals (PFCs), delivering sustainable protection that keeps the wearer dry, even in the most demanding environments. It is a perfect combination of excellent water repellency and extremely high wash durability.

Innovative odor control solutions

Huntsman Textile Effects Launches Water Conservation Project in India

Huntsman Textile Effects, the global leader in innovative and environmentally sustainable dyes, chemicals, and digital inks, has successfully implemented a water conservation process to improve water efficiency and reduce net water usage at its Baroda facility, which is located in the western region of India. The initiative undertaken at the plant aims to save around 76 kilo liters of Reverse Osmosis water per day by modifying the phase sequence in the pH measurement program.

Water is used extensively throughout textile processing operations. The amount of water used varies widely in the industry, depending on specific processes operated at the plant, equipment used, and policies concerning water use. This conservation project at the Baroda Plant will have a potential savings of Rs 10 crore or USD146,000 a year for the organization.

“The team has done a detailed assessment of the pH analysis process in dye vessels, mapping the existing water usage and potential conservation method. After a brief study and several brainstorming sessions, we were able to adjust the phase sequence, resulting in conservation of Reverse Osmosis water by almost 76 kilo liters of water per day.” said Kavishwar Kalambe, Site Director, Huntsman Textile Effects. “This project directly contributes to Huntsman’s Horizon 2025 goals to reduce net water usage at facilities in water-stressed regions,” he added.
